| Pt VI, Line 7a | The Organization is a membership corporation whose | |
| Members are organizations. Each Member shall designate | ||
| a representative to exercise the Member's rights and | ||
| powers. There are two classes of Members - Class A and | ||
| Class B. | ||
| An organization that contributes at least $5,000 to the | ||
| Organization in a calendar year shall become a Class A | ||
| Member for such year. For each $5,000 contributed to | ||
| the Organization in a calendar year, a Class A Member | ||
| shall have one vote that it may cast in that year with | ||
| respect to such matters that may be provided in the | ||
| Bylaws or as the Board of Directors may designate from | ||
| time to time, including the election of the Board of | ||
| Directors as provided in the Bylaws, provided that in | ||
| no case shall a Class A Member's votes on a matter | ||
| exceed 1/3 of the total number of votes that may be | ||
| cast by all the Class A Members on that matter. | ||
| Class B Members shall be such governmental, for-profit | ||
| or nonprofit organizations that support the mission of | ||
| the Organization financially or by other means, and | ||
| whose membership applications are accepted by the Board | ||
| of Directors, but who do not qualify as Class A Members. | ||
| Class B Members shall have no voting rights. | ||
| Pt VI, Line 11a | The accountants prepare the Form 990 and provide it to | |
| the CFO, who shares it with the Board of Directors | ||
| before it is filed. | ||
