On October 1, 2011 Clearfield Hospital made significant amendments to its articles of incorporation and bylaws in connection with the affiliation of Clearfield Hospital and DuBois Regional Medical Center, which became effective on that date. The Affiliation resulted in the creation of Penn Highlands Healthcare, a PA nonprofit corporation (PHH) which now serves as the Parent Company of the integrated Penn Highlands Healthcare system. PHH was designated as the "other body" of Clearfield Hospital as such term is defined in section 5103 of the PA Nonprofit Corporation Law of 1988, as amended. As such "other body," PHH holds certain reserved powers over Clearfield Hospital, as described in the responses to Part VI, Lines 7a and 7b. References to Clearfield Hospital's former member, Clearfield Area Health Services Corporation, were removed.

PHH also has the power to remove directors.

In addition to the reserved powers described in response to 7a, Clearfield Hospital has reserved the following powers to PHH in its bylaws:1) all fundamental transactions; 2) any amendments to bylaws; 3) all strategic plans, all budgets, quality plans and amendments; 4) changes effecting not-for-profit, tax exempt status of any entity in system; 5) changes in mission or direction; 6) entering into contracts, insurance and managed care agreements, third-party payers, medical staff bylaws and credentialing; 7) incur or refinance or prepay debt; 8) securing any mortgage, deed of trust, pledge, security interes or other encumbrance in excess of $500,000; 9) any other unbudgeted operating or capital expense in excess of $500,000; 10) makin any capital expense or capital addition or improvements of more than $500,000; 11) selection of independent auditor or legal counsel; 12) charitable care policy, personnel compensation, pastoral care, any other material covenant, directive, policy or program; 13) enter, cancel or amend any agreement to provide funds by grant, gift or loan;14)reallocation of income or capital among the entities in the system;15) addition of new entities to system. The following reserved powers with respect to officers have been reserved to PHH: 1) nomination, election and removal of the chair of the board; 2) election and the removal of the president. PHH has the power to approve most of the decisions that Clearfield Hospital makes in connection with its reserved powers over certain of its subsidiaries.

There was a step up in basis on Hospital Buildings and Equipment as a result of an appraisal required after the affiliation with DuBois Regional Medical Center and the creation of a new parent company, Penn Highlands Healthcare. The increase is also partly due to the fact that the old parent company, Clearfield Area Health Services, was merged with Clearfield Hospital and the net assets of the former parent's wholly owned subsidiary, Clear-Care Corporation, were transferred to the Hospital books.
