Each year at the association annual meeting in September as specified by the association By-Laws, the members elect/reelect half of the board. PART VI SECTION B [DISCLOSURE]	LINE 15A	The Finance Committee, made up of the Treasurer and other members of the Board of Directors, as well as two members not on the board from member companies, reviews the performance of the President/CEO each year. They also research compatible salary and benefit data. Based on performance and contemporaneous data, the committee RECOMMENDS to the Chairman THE AMOUNT OF ANNUAL compensation. The Board of Directors approves CEO/President compensation at a closed session of the governing body in December of each year.
PART VI SECTION B [DISCLOSURE]	15B	There are no other officers or key employees of the association. However as part of the budget process, the Finance Committee reviews the President's recommendation for salary and wages of association employees, which are the basis for the appropriate expense lines in the budget that is recommended to the Board of Directors. The full governing body approves the association operating budget at their December meeting.
