MEMBERS

The bylaws provide for one class of members who will be persons who are elected or appointed from time to time as directors of the corporation and who will be considered to be the members of the corporation for the purpose of any statutory provision or rule of law relating to members of a non-stock, not-for-profit corporation. The members meet quarterly and elect directors annually.
REVIEW OF FORM 990 BY BOARD

A copy of the Form 990 was provided to the Board of Directors before filing the return. The Treasurer reviewed the return in detail and reported to the full Board of Directors. The full Board of Directors accepted the Treasurer's recommendation to file the return with the IRS.
Conflict of Interest Policy

The officers and directors are required annually to review the policy and complete conflict disclosure statements which are provided to all board members. Conflicts are noted in the board minutes. The disclosure statements and conflict of interest policy require the officer or director to recuse themselves from a meeting when the board reviews and votes on any matter where a conflict is noted.
PROCESS FOR REVIEWING COMPENSATION

The organization does not currently pay compensation. The officers and board members will rely on the rebuttable presumption of reasonableness described under the regulations for any compensation paid by the organization in the future. The process will include obtaining independent comparable compensation data (gathered by a third party), utilization of the data by the board to make any compensation decisions, and contemporaneously documenting the process.
