Briefly describe the organization’s mission: THE DISTRICT OF COLUMBIA HOSPITAL ASSOCIATION IS A NON-PROFIT MEMBERSHIP ORGANIZATION WHOSE PURPOSE IS TO ENCOURAGE AND ASSIST HOSPITALS IN THE DISTRICT OF COLUMBIA IN DELIVERING HIGH-QUALITY HEALTH CARE SERVICES AND TO PROVIDE A MECHANISM THROUGH WHICH THESE INSTITUTIONS CAN SOLVE COMMON PROBLEMS, ACHIEVE COMMON GOALS AND MEET COMMUNITY HEALTH NEEDS.

Identified and monitored all legislative and regulatory policies, programs and proposals which may have an impact on health care services in the District of Columbia, including all District, federal, private payor, and fiscal intermediary activities which represent a potential impact on the financial viability of district hospitals. In addition, collected and managed hospital data (utilization and financial) for 16 hospitals. Managed hospital data requests for research by members and other interested parties.

FIN 48 DISCLOSURE	SCHEDULE D, PART X, LINE 2	The Association was recognized as an entity generally exempt from federal income taxation under 501(c)(6) of the Internal Revenue Code pursuant to a determination letter issued by the IRS on April 26, 1979. The Association is entitled to rely on this determination as long as there are no material changes, inconsistent with exemption, in the character, purposes, or methods of operation of the organization, or a change in the applicable law. Management has concluded that there have been no such changes and therefore the Association remains exempt from federal income taxation. Section 47-1802.01(6) of the District of Columbia Code also provides a general exemption from local income taxation for organizations that are exempt from federal income taxation. However, the Association is subject to both federal and local income taxation at corporate tax rates on its unrelated business taxable income. Exemption from other taxes, such as real and personal property taxes, is separately determined. The Association had no unrecognized tax benefits or such amounts were immaterial during the periods presented. For tax periods with respect to which no unrelated business income was recognized, no tax return was required. Tax periods for which no return is filed remain open for examination indefinitely. Current accounting standards require recognition in the financial statements and/or accompanying notes for uncertain income tax positions, and define the threshold for recognizing tax return positions in the financial statements as "more likely than not" that the position is sustainable, based on its technical merits. In the opinion of management, application of these accounting standards resulted in no impact on its consolidated financial statements.

SCHEDULE J, PART I, LINE 1		The President/CEO of DCHA receives certain benefits that are taken into income and reported on the President/CEO's Form W-2: (1) The President/CEO was accompanied by his spouse to the biannual State Hospital Association Executives Forum (SHAEF) meetings. The cost of the President/CEO's spouse's registration, airline tickets and portion of meals at the meetings, $2,947, was included in the President's taxable income in 2012 and reported on the President/CEO's 2012 Form W-2. (2) The President/CEO of DCHA was provided a reserved parking spot in a parking garage near the DCHA office in downtown Washington, D.C. The cost of the parking in excess of the $240/month employee transit benefit was $1,476 and was included in the President/CEO's taxable income in 2012 and reported on the President/CEO's 2012 Form W-2. (3) The President/CEO was provided an automobile allowance of $7,200 for the year. DCHA is currently in the process of amending the President/CEO's 2012 Form W-2 to report the $7,200 as taxable income to the President/CEO. For purposes of the DCHA 2012 Form 990 Part VII and Schedule J, the $7,200 automobile expense has been included in the President/CEO's 2012 compensation income. The organization has entered into an employment agreement with the President/CEO, which sets for the parameters for the President/CEO's compensation. The employment agreement is reviewed each year and approved by the Officers of the Board of Directors (each of whom is independent). Spousal travel, reserved parking, and the automobile allowance were included as benefits to be provided to the President/CEO in his employment agreement applicable for 2012.

REVIEWING 990	PART VI, SECTION B, LINE 11A	DCHA engages an accounting firm to help prepare its Form 990. Once the accounting firm has produced a draft of the Form 990, DCHA management reviews the Form 990 and any management comments are appropriately reflected. DCHA then distributes a copy of the Form 990 to each member of the DCHA Board of Directors for their review. Comments from board members are incorporated into the form 990 prior to filing.
MONITORING CONFLICTS	PART VI, SECTION B, LINE 12C	DCHA has adopted a Conflict of Interest policy that has been approved by the DCHA Board of Directors, which covers all individuals involved in policy and decision making for DCHA. Under the policy, each such person is required to complete a disclosure form and questionnaire, annually, regarding all business or familial relationships the person may have that create a personal interest that may conflict with the interests of DCHA. Additionally, DCHA sends a copy of the policy to each covered individual, annually, to ensure that the covered person is current with the policy. Furthermore, any covered person has an ongoing obligation to disclose the existence of any actual or potential conflict to the Board of Directors. If a conflict of interest does exist, and the matter is discussed at a Board of Directors meeting, the covered person is restricted from voting or using her personal influence on the matter. Additionally, full disclosure of all facts pertaining to any matter for which a conflict of interest may exist must be undertaken before a decision is made with respect to such matter. The Conflict of Interest policy is reviewed annually by the Board of Directors, officers, and executive staff of DCHA to determine whether the policy should be updated or revised.
DETERMINING COMPENSATION	PART VI, SECTION B, LINE 15B	The CEO is the only paid officer of DCHA. To determine the CEO's compensation, the organization uses several tools. First, the organization undertakes an executive salary survey to determine if the CEO's compensation is consistent with other executives at similar organizations. Second, the organization has entered into an employment agreement with the CEO, which sets forth the parameters for the CEO's compensation. The employment agreement is reviewed each year. Third, the Officers of the Board of Directors review and approve the CEO's compensation arrangement each year.
