Schedule D Part X FIN 48 AND ASC 740 Footnote United Way has received a determination letter from the Internal Revenue Service (IRS) that grants an exemption from income taxes under Section 501(c)(3) of the IRC except for any income that may be a result of unrelated business transactions. United Way adopted the provisions of FASB ASC 740 "Accounting for Uncertainty in Income Taxes," on July 1, 2008. Under FASB ASC 740, an organization must recognize the tax benefit associated with tax positions taken for tax return purposes when it is more-likely-than-not that the position will be sustained. United Way does not believe there are any material uncertain tax positions and accordingly has not recognized any liability for unrecognized tax benefits. United Way has filed for and received income tax exemptions in the jurisdictions where it is required to do so. Additionally, United Way has filed Internal Revenue Service Form 990 tax returns as required and all other applicable returns in those jurisdictions where it is required. United Way believes that it is no longer subject to U.S. federal, state and local, or non-U.S. income tax examinations by tax authorities for years before 2008. However, United Way is still open to examination by taxing authorities from fiscal year 2008 forward. No interest or penalties were recorded in the financial statements related to any uncertain tax positions.

SCHEDULE I, PART IV PROCEDURES TO MONITOR THE USE OF GRANT FUNDS IN THE UNITED STATES United Way monitors both the program funding and the agency's fiscal and organizational health. Regarding the programs, our contracts contain specific deliverables (outcomes and outputs) that are monitored for all programs on a yearly basis and for programs where we have some concerns every six months or more often, depending on the issues. Regarding the organization's overall management, we require agencies to complete the "Common Administrative Assessment Tool" once during the three year contract period. Regarding the agency's financial health, all agencies are required to submit yearly audits conducted by an independent auditor, the management letter and response to management letter and the 990 form. Our Audit Committee reviews the information and assigns a letter grade to each agency. In addition, our relationship with the agencies is governed by our Policies and Procedures Manual which includes expected standards of performance in the areas of governance, financial management, staff and volunteer management, service delivery, and communications.

CEO compensation is based on the following criteria: 1. EXPERIENCE & PERFORMANCE United Way of Miami-Dade recognizes that people, talent and commitment are key resources in achieving the organization's goals. 2. JOB RESPONSIBILITY & COMPLEXITY The CEO position requires regular interfacing with the community's top corporate, government and labor leadership. It also includes substantial contact with media and other opinion-makers and leaders. The president of United Way of Miami-Dade is ultimately responsible for providing leadership and direction to the development of a quality human care system. This is achieved by deploying and leveraging a range of organizational assets that includes fund raising, community investments, advocacy, and community building as well as fostering a collaborative spirit among public and private institutions. 3. MARKET COMPARABILITY DATA Compensation is based in part on a comparison of similar-sized United Ways in other markets as well as at local comparable institutions. When determining the salary the compensation committee reviewed market data from United Ways in Atlanta, New York City, Chicago, Boston, Philadelphia, St. Louis, Houston, Columbus, Detroit, Kansas City and Washington DC. At the local level, the committee reviewed salary data from the Greater Miami Convention & Visitors Bureau, the Greater Miami Chamber of Commerce, the Beacon Council, the Greater Miami Jewish Federation and other similar organizations.
