1.Bylaws were amended and restated January 31, 2011, but not reported on prior Form 990. The bylaws were substantially shortened with the intent of simplifying and eliminating excessive detail from those previously in effect. A template suggested by a national organization for other non-profit private schools was used.Significant changes to the bylaws are summarized in Items 2 - 13 below.2.Article I concerning Name and Purpose significantly shortened from 6 paragraphs to 2 paragraphs without changing the basic purpose of operating a school as a not-for-profit enterprise.3.Nondiscrimination paragraph regarding students removed from the bylaws. Nondiscrimination policy now will be maintained by a resolution of board of trustees to maintain such policy up to date with current IRS and other legal requirements. The school does not discriminate on the basis of sex, religion, race, color, or national and ethnic origin.4.Corporation previously had a classification of Membership with Members consisting of any adult member of the immediate household where a child is in attendance at Valley Preparatory School. Bylaws amended to state "The corporation shall have no members."5.Composition of Board of Trustees (governing body) changed FROM: requiring a member of Frederick Auerbacher's immediate family or other designated person by the family plus one and not more than 4 Trustees outside the corporate membership. TO: no more than 1/3 of the trustees may be parents of Valley Preparatory School students and deletion of reference to requiring trustee from the Frederick Auerbacher family or other family designated person.6.Trustees now are limited to 2 successive 3-year terms. Trustees may not be elected to serve beyond the second term without first having been off the Board for at least one year, unless elected as an officer of the Board. Staggered terms also added such that the terms of approximately one-third of the trustees expire each year. Previously, there was no limit on the number of successive 3 year terms.7.Officers of the corporation are now as elected by the Board of Trustees. Previously, qualifications for officers required persons who were either members of the corporation or community representatives appointed to the Board of Trustees.8.Bylaws now allow two or more offices to be held by the same person, except the office of Chair and Secretary. Previously the bylaws stated, "No person may hold no more than one (1) of the following offices: President, Vice-President, Secretary, or Treasurer.9.Conflict of Interest policy added to bylaws.10.Bylaws previously prohibited employees or family members of employees from serving on the Board of Trustees. This specific prohibition has been removed from the current bylaws, but the obvious conflict of interest would have to be addressed by the board through the conflict of interest policy added to the bylaws.11.Officer titles for President and Vice President changed to Chair of the Board and Vice Chair. 12.Standing Committees of the Board of Trustees added with respective requirements and authority for (1) Executive Committee (2) Finance Committee (3) Committee on Trustees (4) Development and External Relations (5) Audit and Compensation Committee with specific responsibilities for the Audit Committee.13.Article added on Indemnification of Trustees, Officers and Employees.
