| MONITOR AND COMPLIANCE OF CONFLICT OF INTEREST POLICY | FORM 990, PART VI, SECTION B, LINE 12C | The Committee (or its delegate, if any) has the authority to interpret and apply this Policy. The Committee (or its delegate, if any) has the authority to determine whether any particular Ownership Interest, Compensation Arrangement, or gratuity violates this Policy and to decide what action shall be taken in response to a violation. The Administrator is responsible for monitoring compliance with, and enforcing, this Policy. The Administrator is hereby given authority to request any information from a Covered Person necessary to ascertain whether the Covered Person is complying with this Policy. Failure to respond to such a request will be considered a violation of this Policy. The Administrator shall inform the Committee of any actual or potential conflict of interest or violation of this Policy when such conflict or violation is identified. The Administrator is also required to make an annual report to the Committee concerning compliance with this Policy. Every Covered Person is required to report to the Administrator any actual or potential violation of this Policy of which the Covered Person becomes aware. For a Covered Person who is an employee of the Trust or an employee of CDS (Central Data Services, Inc.), a violation of this policy may result in disciplinary action up to and including termination. For a Covered Person who is a Member, a violation of this Policy may result in removal pursuant to the terms of the Trust. Notwithstanding any internal disciplinary action taken by the Committee with regard to a violation of this Policy, the Committee may also take any and all legal action necessary to remedy such violation. The Committee will also cooperate with any government agency investigating any action which would be a violation of this policy. Each Covered Person is required to read this Policy and to acknowledge in writing that he or she has read the Policy, understands it, and agrees to abide by it. |
