Maryland Rural Development Corporation (MRDC)received rent income that
is exempt under Section 514 because the library performs
work in the space meeting their exempt purpose.

The final Form 990 is reviewed and approved by the Board Treasurer, CFO and
Executive Director prior to submission to the IRS. This review
process is completed on an individual basis, with a conference call/
meeting scheduled if any comments, questions or changes need
to be made.
Pt VI, Line 12c
MRDC's accounting and finance policies and procedures manual addresses any
conflicts of interest as follows "No Employee, Officer, or Agent of Maryland
Rural Development Corporation shall participate in the selection,
award, or administration of a contract involving Maryland Rural
Development Corporation. If a real or apparent conflict of interest would
be involved such a conflict would arise when the employee, officer, or agent,
or any member of her or his immediate family, his or her partner, or an
organization that employes or is about to employ any of the parties indicated
herein, has a financial or other interest in the firm selected" MRDC requires
all employees to adhere to its policies. Violations will result in
disciplinary action, which could include termination of employment and/or cancellation
of contracts. Suspected violations of such policies are to be immediately
and confidentially reported to a supervisor, executive director or fiscal officer.

The executive director's compensation is determined by the Board of Directors and
may be changed, by vote, during the annual review process. Wage
comparability studies are used to verify comparable compensation, which includes
local, regional, and national averages for similarly qualified individuals.
