The changes to the organization's Articles of Incorporation are as follows:The mission was rewritten and is explained within the form 990. The sole member of the Corporation shall be the President of the Board.The Board of Directors shall be comprised of no less than 5 board members who shall serve for at least one year or until their successors are duly elected.The annual meeting of the Board of Directors will be held in the third quarter of each year, for the appointment of officers and the transaction of any other business shall be held at such time and at such place as may be determined by the Board.Regular meetings of the Board of Directors shall at least be held quarterly and any additional regular meetings of the Board of Directors.Special meetings of the Board of Directors or of any committee thereof shall be held whenever called by the President of the Board, if any, or by any two directors. The President of the Board shall preside over meetings of the Board of Directors. If the President of the Board is not present or there is none, the Vice President shall preside. If the Vice President is not able to preside or there is none, a chairman chosen at the meeting shall preside. The Secretary of the Board, or, if the Secretary is not present, a person chosen at the meeting, shall act as secretary at the meeting.Any director of the Corporation may resign at any time upon notice in writing to the Board of Directors, the President, or the Secretary of the Board.Any officer may resign at any time by written notice to the Board of Directors, the President of the Board, and the Secretary of the Board. The President shall be the chief executive officer of the Corporation and shall supervise and control the business and affairs of the Corporation, see that all orders and resolutions of the Board of Directors are carried into effect, perform such other duties and have such other powers as the Board of Directors may from time to time prescribe.
