| Members of ACIC | Form 990, Part VI, Question 6 | There are 3 classes of membership as follows: a) Governing Members, those which Property Casualty Insurers Association of America (PCIAA) is the only member with full voting rights; b) Regular Members-whose membership is granted upon application and approval by 2/3 of the ACIC Board of Directors to all property, casualty, or surety companies legally transacting insurance business in the state of California; c) Affiliate Members-individuals or corporations not eligible for Regular membership who are interested in promoting the purposes of ACIC. Neither Regular Members nor Affiliate Members have full voting rights. The Governing Member shall be entitled to one vote on all matters which come before the membership for a vote. Each Regular Member in good standing shall at any meeting of the members be entitled to one vote on only those matters for which the By-Laws permit Regular Members to vote. Affiliate Members shall not be entitled to vote at any meeting of ACIC. Members with the Right to Elect or Appoint Members of the Governing Body Form 990, Part VI, Question 7a The sole governing member of ACIC, Property Casualty Insurers Association of America (PCIAA), elects the directors of ACIC at its regular annual meeting. The President of PCIAA furthermore serves an ex officio voting member of ACIC's governing body. Governance Decisions Reserved to the Governing Member Form 990, Part VI, Question 7b The sole governing member of ACIC, Property Casualty Insurers Association of America (PCIAA), shall have the following exclusive powers: a. Establish subsidiary or affiliated corporations as may be necessary to further the purpose of ACIC; and b. Approve ACIC's annual budget. Furthermore, the following powers of ACIC's Board of Directors require the approval of its governing member: a. To manage the business and affairs of ACIC; b. To establish such rules and regulations as are necessary for the conduct, management, and control of ACIC; c. To designate the place and time of all meetings of members and to establish the location of the principal office of ACIC; d. To establish principles and written procedures for developing a public policy process which will accommodate the interests of all members and which will result in ACIC advancing public policy positions that reflect a consensus of the regular members; e. Within the annual expenditure budget and dues, to borrow money and incur indebtedness for the purposes of the Corporation and to cause to be executed and delivered in ACIC's name, promissory notes, bonds, debentures, deeds of trust, or other evidences of debt, and securities thereof; f. To fix dues for regular and affiliate members; g. To manage in such a manner as they may deem best all funds and property, real and personal, received and acquired by ACIC, and to distribute, loan, or dispense the same and/or the income and profits therefrom; and h. To authorize any officer or officers, agent or agents, to enter into any contract or execute any instrument in the name of and on behalf of ACIC, and such authority may be general or special, and unless so authorized by the Board of Directors, no officer, agent or employee shall have any power or authority to bind ACIC by any contract or agreement or to pledge its credit or to render it liable for any purpose or to any amount. Description Process to Monitor Transactions for Conflicts of Interest Form 990, Part VI, Question 12C The ACIC Conflicts of Interest policy is a section of the PCI Code of Conduct, which is circulated to all employees annually and includes a written acknowledgement that the employee has read the code, which is required to be signed and returned to the employee's personnel file. There is an online test that must be completed and passed. The conflict of interest policy is posted on an internal employer intranet for easy reference for all employees. Process for Determining Compensation Form 990, Part VI, Question 15a and 15b, and Part V, Question 2a All persons employed by ACIC are paid by its parent and sole governing member, the Property Casualty Insurers Association of America (PCIAA), which acts as common paymaster. The process used by PCIAA for determining the compensation of the officers includes an independent market study of the compensation package versus that of data for comparable positions.
