BYLAW CHANGES 1) ARTICLE VI - FINANCIAL PROVISIONS, SECTION 3. CTG RESERVE FUND. New version: A. The CTG Reserve Fund consists of the funds previously held by Center Theatre Group Endowment Fund, Inc which were transferred to the Music Center Foundation and are held and invested by the Music Center Foundation. The Board of Directors shall determine what portion of the CTG Reserve Fund may be distributed to CTG on an annual basis, provided that an annual distribution of more than 5% of the average market value of the CTG Reserve Fund's assets over the trailing twelve quarters ended March 31 must be approved in the same manner as a distribution from the CTG Reserve Fund other than an annual distribution. B. A distribution from the CTG Reserve Fund other than the annual distribution may be approved by the Board of Directors as follows: i) In its sole discretion, the Finance Committee may recommend to the Board of Directors a distribution from the Reserve Fund, other than an annual distribution, with the reasons for the distribution submitted in writing if such recommendation was approved by a vote of three fourths of the members of the Finance Committee in attendance at a meeting where a quorum is present at the time of the vote, provided that the members voting for the recommendation are no less than the number required for a quorum; ii) The distribution, as recommended by the Finance Committee, must be then approved by a vote of three fourths of the members of the Board in attendance at a meeting where a quorum is present at the time of the vote, provided that the members voting for the distribution are no less than the number required for a quorum, Article 2 Section 4 and Article 3 Section 5 of these bylaws notwithstanding; iii) Distributions from the CTG Reserve Fund shall be expended in accordance with Section 2 above. C. So long as the CTG Reserve Fund is invested by the Music Center Foundation the President with the concurrence of a majority of the Board of Directors, shall appoint a member of the Board of Directors to serve on the Music Center Foundation's Board of Directors and, so long as CTG's Reserve Fund is invested with the Music Center Foundation, the President with the concurrence of a majority of the Board of Directors, shall appoint a member of the Board of Directors as CTG's representative to the Music Center Foundation Investment Committee. 2) ARTICLE VI - FINANCIAL PROVISIONS, SECTION 4, CTG ENDOWMENT FUND. New version: The CTG Endowment Fund consists of funds donated to the Music Center Foundation earmarked by the donors as endowment for CTG. The Music Center Foundation shall determine what portion of the CTG Endowment Fund assets are distributed to CTG annually or otherwise. 3) ARTICLE VI - FINANCIAL PROVISIONS, SECTION 5, DONOR FUNDS. New version: Donor Funds consists of funds donated to CTG either as unrestricted or with a restriction other than as endowment. If CTG accepts a donation with a restriction, CTG shall honor the restriction unless it is lifted by the donor. Donor Funds shall be expended in accordance with Section 2 above. 4) ARTICLE VI - FINANCIAL PROVISIONS, SECTION 6, AUDIT. New version: The Board of Directors or the Executive Committee shall annually, or at such other times that they deem desirable, cause the accounts of Center Theatre Group to be audited by a firm of certified public accountants. Such auditor shall have the power to call upon any officer, agent, or employee of Center Theatre Group for information or for any book, paper, or other document pertaining to its business affairs. Such audit shall be presented to the Board of Directors at the next regular meeting after completion. 5) RESOLUTION TO BE ADOPTED. New version: It is hereby resolved as follows: Withe regard to the funds held by the Music Center Foundation, formerly held by the Center Theatre Group Endowment Fund, Inc known as the "CTG Reserve Fund", annual distributions based upon 5% of the average market value of the CTG Reserve Fund's assets over the trailing twelve quarters as of March 31 of each year is hereby confirmed.

The board president chaired a committee of independent board members to review the compensation of the CEO "Artistic Director". They reviewed his salary history, comparable wages in the industry and engaged the services of a consultant (Lipis Consulting, Inc) to provide a national salary survey for similar positions. A three year written contract was agreed upon that includes salary adjustments in years 2 and 3. For other key employees, the Artistic Director and Managing Director consulted the most recent compensation information available from independent service organizations to insure that salaries are reasonable and appropriate.
