		The income tax footnote on the Tennessee Grocers Association audited financial statements reads as follows The Association is exempt from federal income taxes under the provision of Section 501c6 of the Internal Revenue Code. The Association is subject to a tax on income from unrelated business. The Association has adopted the recognition requirements for uncertain income tax positions as required by generally accepted accounting principles. Income tax benefits are recognized for income tax positions taken or expected to be taken in a tax return, only when it is determined that the income tax position will more likely than not be sustained upon exmination by taxing authorities. the Association has analyzed tax positions taken for filing with the Internal Revenue Service. The Association believes that income tax filing positions will be sustained upon examination and does not anticipate any adjustments that would result in a material adverse affect on the Associations financial condition, results of operations, or cash flows. Accordingly, the Association has not recorded any reserves, or related accruals for interest and penalties for uncertain income tax positions as of December 31, 2012 and 2011. The association is subject to routine audits by taxing jurisdicitions however, there are currently no audits for any tax periods in progress. The Association believes it is no longer subject to income tax examinations for years prior to 2009.

Form 990		All legal and financial documents are available to the public and to the board of directors upon request. Tennessee Grocers Association obtains an audit of its financial statements even thought there is no federal or state authority that requires that they do so. Jarron B. Springer makes the decision as to who will be hired to perform the audit, and the audited financial statements are presented annually to the board of directors by the auditors. The Form 990 and Form 990-T are reviewed by Jarron B. Springer prior to signing and filing. A copy of both the 990 and the 990-T is available to the putblic and the to the board upon request. Tennessee Grocers Association has a conflict of interest policy that it goes over with each and every board member at least annually. The policy is gone over in depth as to what the policy is and why it is important at the annual board retreat and each board member is required to sign a statement and return to Jarron B. Springer that they have read and understood the policy. Cyndi Randle keeps a log of each member and follows up to make sure that these are all signed and returned. Compensation for Jarron B. Springer is reviewed and approved by the board of directors. Compensation for the other two employees are reveiwed and approved by Jarron B. Springer. Jarron is eligible for an annual bonus based on certain financial and membership benchmarks. If Jarron meets the requirment or requirements for a bonus, this is calculated by the outside accountant that does the monthly accounting and is approved by the board before accrued or paid.
