Training Division - Peacemaker Ministries provided training, consulting and resources to conciliators in the U.S. and around the world enabling them to gain expertise in assisting Christians in conflict. The number of individuals served in regard to such training is as follows: new conciliators enrolled in the Conciliator Training Program totaled 32; the number of candidates who were certified in 2012 was 17 and the total active Certified Christian Conciliators at the end of 2012 was 173. There were 400 individuals trained in Foundational Skills and another 90 who went through advanced training. We also train people online through Peacemaker University. In 2012 we offered courses in personal peacemaking (Resolving Everyday Conflict), leadership (The Leadership Opportunity) and a full complement of continuing education workshops for Certified Christian Conciliators. To date more than 5000 people from more that 50 countries have registered for courses at Peacemaker University.

Distribution Division - This division shared biblical peacemaking principles through 14 exhibiting opportunities across the country including parachurch organization conferences and denominational conventions. Many of these events included customized workshops presented by staff members. Staff members connected with potential partners and supporters during these opportunities. Numerous resources are available to assist churches and individuals in building a culture of peace which are available through our bookstore on the web.

International Division - This division has been active since July 2001. In 2012 we provided training seminars in the Philippines, Egypt, and China. Our basic book, The Peacemaker, has been translated into more than a dozen languages, the most recent being an Amharic (Ethiopia) edition, completed in 2010. We continue to implement a long-term international strategy that focuses on developing centers of peacemaking in Africa, Asia and Latin America based on creation of resources in four global languages - English, French, Spanish and Chinese. Our web-based resources assist peacemakers in more than 140 countries worldwide. Our association with Overseas Council, a network of 115 seminaries worldwide, and Advocates International, a global network of 100 Christian lawyer groups, is ongoing. In partnership with one of the Overseas Council seminaries, the International Graduate School of Leadership in Manila, we have created a Peace Studies doctoral program in biblical peacemaking. Our original seven doctoral candidates have completed their courses and are now at work on their dissertations. The second group of 8 students has completed their second year courses and will begin their third year in October 2013.

Conciliation Services Division - This division provided conflict coaching and Christian dispute resolution (mediation and/or arbitration) services in over 30 formally opened cases to individuals, companies, ministries and churches involved in disputes and/or legal actions. In addition, over 500 individuals, churches and organizations were served through email and telephone coaching contacts, where they received conflict coaching regarding their particular dispute. Most services were conducted outside Peacemaker Ministries' offices and 95% involved out-of-state travel.

Committee work is often by email and telephone rather than formal meetings; contemporaneous notes are kept but not formal "Minutes." Committee responsibilities are specified in Board Policies, including actions that do or do not require full Board approval. All committee decisions and actions are recorded in the Board Minutes at the next meeting after the committee action/decision, whether or not a full Board vote was required.

Form 990, Part VI, Section B, Line 11b
The process for Board review and approval of Peacemaker Ministries' (PM) audit and Form 990 is as specified in the Board Resolution: WHEREAS, the Board of Directors of the corporation desires to delegate to its Audit Committee the responsibility to review and approve Peacemaker Ministries' annual external audit and IRS Form 990 on the Board's behalf; and WHEREAS, the Audit Committee is charged to report to the Board of directors its approval of the annual audit and IRS Form 990, explaining any and all material issues related thereto; and WHEREAS, the Board will record in its Minutes the report of the Audit Committee with respect to the annual audit and IRS Form 990; NOW THEREFORE, BE IT RESOLVED THAT the Audit Committee is authorized by the Board of Directors to be responsible for the review and approval of the annual external audit and IRS Form 990, fulfilling the Board's legal and fiduciary responsibility in these matters.

Form 990, Part VI, Section B, Line 12c
A formal conflict of interest policy was drafted and approved by Peacemaker Ministries' Board on December 17, 2003. Each employee and Board member of Peacemaker Ministries must complete a conflict of interest questionnaire upon initiation into their role. In addition, HR executes an annual update of this questionnaire for all employees and Board members. If any conflicts of interest are noted during the questionnaire process, HR forwards the noted items on to the Executive Vice President, who reviews the noted items and determines if a significant impact (or potential impact) is created by the conflict of interest. If so, the conflict of interest is discussed and action steps taken to remedy the situation.
F990_P06_S0B_L15
Form 990, Part VI, Section B, Line 15
Compensation for the President of Peacemaker Ministries is determined by the Board of Directors on an annual basis. The Board gathers information on how comparable non-profits compensate their President/CEO. This information, along with an overall understanding of the ministry's finances, is taken into consideration when determining the compensation for the President. Human Resources requires annual documentation (Board Minutes) in order to change the salary of the President. Peacemaker Ministries' Board of Directors is not compensated, so this question only applies to our other key employees, the Executive Vice-President and Controller. Salary compensation data for organizational staff positions is gathered on an annual basis. This data is used to help determine if the overall pay structure at Peacemaker Ministries is in an appropriate range. Staff salaries are compared to salaries of employees at other regional businesses, as well as to other non-profit corporations. While all positions do not have reliable comparison data, many do and this enables us to develop a compensation structure for the organization. The comparison packages for the Controller and Executive Vice-President must fall within the ranges set forth in this structure. Their salaries are evaluated on an annual basis, and any requests for changes in pay must be approved through Human Resources, and by the President in the case of the Executive Vice-President, to ensure that they are consistent with the overall pay scale.

If the governing documents (articles of incorporation, bylaws and constitution) and conflict of interest policy of our organization are subject to the Federal public disclosure rules (or state public disclosure rules), these documents will be made publicly available as applicable law may require. Otherwise, the governing documents and conflict of interest policy will be provided to the public at the discretion of management.
