SAINT FRANCIS HOSPITAL IS CLASSIFIED AS AN URBAN HOSPITAL, WITH OUR PRIMARY SERVICE AREA COMPRISED OF A POPULATION OF APPROXIMATELY 320,000 PEOPLE, PROVIDING CARE IN DUTCHESS AND SURROUNDING COUNTIES IN NEW YORK STATE. IN THE YEAR 2012, THERE WERE 8,010 INPATIENT DISCHARGES, APPROXIMATELY 220,396 OUTPATIENT VISITS, AND 32,329 EMERGENCY DEPARTMENT VISITS TO OUR HOSPITAL. Saint Francis Hospital and Health Centers offers a wide range of medical services and wellness programs. Advanced diagnostic and treatment options are complimented by compassionate care that is the hallmark of Saint Francis Hospital. THE HOSPITAL IS ORGANIZED TO PROVIDE DIAGNOSIS, MEDICAL, SURGICAL, AND BEHAVIORAL HOSPITAL CARE AND TREATMENT, AMBULATORY AND OUTPATIENT CARE, HOME CARE AND OTHER HOSPITAL AND HEALTH CARE RELATED SERVICES, AS WELL AS ACTIVITIES RELATING TO THE PROMOTION OF HEALTH. The Hospital is a member in several area hospital associations to which it pays annual dues/membership dues. Schedule H, Part I, Line 6a   St. Francis Hospital completed an extensive Community Service Plan in September 2011 and made this document available to the public both on its website and at its business location. Saint Francis Hospital's (SFH) Community Service Plan is assessed annually by hospital leadership. SFH also works in collaboration with local hospitals and the Dutchess County Department of Health (DOH) in assessing community needs, then our leadership further determines which programs and services SFH can implement or enhance to help meet identified community needs. Public participation and outreach is part of Saint Francis Hospital's Mission and has from our founding, been part of our service to the community. In 2013 the Dutchess County DOH conducted a comprehensive analysis, through which four community priorities were identified: Dental Health, substance abuse treatment services, access to quality care, and tick and other insect-borne illnesses. SFH then assessed its role in addressing these needs. Schedule H, Part II The Hospital undertakes a number of community building activities during the course of the year that are not quantifiable in terms of revenue and expenses and do not easily fit within the parameters of the community building activities table of Schedule H. Nevertheless, to the extent that Hospital employees undertake community activities, the Hospital has asked those individuals to track their hours so that the Hospital can quanity the expense of such activities on the Schedule H. To that end, the Hospital is reporting approximately $250,000 in community building expense on Part II. The Hospital does not generate any revenue from these activities. In 2012, the Hospital undertook the following community building activities: 1. Continuing education and health awareness programs 2. Nursing Education programs for community nurses 3. Educational programs for emergency medical staff 4. Diabetes Programs 5. Blood Collection programs in conjunction with American Red Cross 6. Student training for laboratory programs 7. Breast Screenings Schedule H, Part III, Line 4 The Hospital's draft financial statements (which have not been issued) contain the following description of its bad debt expenses. -------------------------------------------------------------------- In evaluating the collectability of accounts receivable, the System analyzes its past history and identifies trends for each of its major payor sources of revenue to estimate the appropriate allowance for doubtful accounts and provision for bad debts. Management reviews data about these major payor sources of revenue in evaluating the sufficiency of the allowance for doubtful accounts. For receivables associated with services provided to patients who have third-party coverage, the System analyzes contractually due amounts and provides an allowance for doubtful accounts and a provision for bad debts, if necessary (for example, for expected uncollectible deductibles and copayments on accounts for which the third-party payor has not yet paid, or for payors who are known to be having financial difficulties that make the realization of the amounts due unlikely). For receivables associated with self-pay patients, the System records a significant provision for bad debts on the basis of its past experience, which indicates that many patients are unable or unwilling to pay the portion of their bill for which they are financially responsible. The difference between the billed rates and the amounts actually collected after all reasonable collection efforts have been exhausted is charged off against the allowance for doubtful accounts. The System has not experienced significant changes in write-off trends and has not changed its charity care policy for the year ended December 31, 2012. -------------------------------------------------------------------- As further clarification, the Hospital notes that its bad debt is calculated as follows: As part of the monthly process to review the net realizable value of the accounts receivable balance, management calculates the adjustment needed to fund the allowance for doubtful accounts reserve. This is recorded as bad debt expense. This calculation uses historical collection and adjustment percentages on existing patient accounts, and applies these percentages to the current accounts receivable balance. As accounts are transferred to bad debt throughout the year, the account balances are written off against the allowance for doubtful accounts. To calculate the cost basis of the bad debt expense, management applied the ratio of cost to charges from the Medicare cost report to the gross bad debt amount. Schedule H, Part III, Line 8 St. Francis Hospital utilizes Cost Report Worksheets, D-series to determine the amounts reported on Part III, Section B, Line 6 of Schedule H. Schedule H, Part III, Line 9b The Hospital has a written debt collection policy. Although the policy does not contain a specific provision on collection practices to be applied to patients who qualify for charity care, the policy does specifically note that Medicaid recipients are exempt from any collection practices. The Collection Policy does include provisions outlining the steps to be undertaken by those who submit an application for financial aid. All Applications for financial aid must be completed and processed by staff within 110 days of service. No collections notices will be sent while the application is pending. If the application is granted, the hospital will not undertake any collections activities on that patient. If the application is not completed, or is denied for any reason, the customary collections processes will take place. Schedule H, Part VI, Question 2 - Needs Assessment The Hospital completed a Community Service Plan most recently that covered the 2010 through 2013 tax years. The Hospital's specific community needs assessment activities will be described in detail on the succeeding year's Form 990 as the requirement to implement the community needs assessment does not take effect for those taxpayers with a year end beginning on or before March 23, 2012.
Schedule H, Part V, Line 19(d)   The maximum amount that can be charged to FAP-eligible individuals for emergency or other medically necessary care is 60% of total charges.
Schedule H, Part V, Lines 16, 17 & 18   The Hospital's billing and collections policy does permit the Hospital to undertake the procedures listed in boxes a, b and c; however, it is important to note, that these are last-resort measures that are only implemented once all other measures have been attempted. The Hospital does not condone any harassment of its patients. Form 990, Schedule H, Part V, Line 20 The Hospital has an Uninsured/Underinsured Patients Policy in place that governs what the Hospital can bill for emergency services. Any emergency room visit of a New York State resident, regardless of country, will be given a 40% discount off of charges so long as the patient meets the criteria outlined in the Hospital's Financial assistance policy. All patients not residing within New York State and whose services are not emergency room related are handled on an individual basis for charitable discounts. The Hospital provides free confidential help to all patients so that the appropriate discounts are obtained, when needed. The Financial Counsel will inform the patient if he or she qualifies for free or low-cost insurance, such as Medicaid, Child Health Plus and Family Health Plus. Once the Financial Assistance Application is completed, the Hospital's financial counselor will provide details about the specific discounts available.

Schedule L, Part IV Disclosure   The Hospital purchases utilities from Central Hudson Gas & Electric Corporation. Amounts paid totaled $347,486 in 2012. Board of Trustees member, Joseph J. DeVirgilio, Jr., was formerly an officer and director of Central Hudson Gas & Electric. Board of Trustees Member Sephir Hamilton is an employee of Central Hudson Gas & Electric. The Hospital purchases insurance from George Whalen Insurance. Amounts paid totaled $224,155 in 2012. Board of Trustees member, George T. Whalen, III, is a sales executive with George Whalen Insurance, a division of Marshall and Sterling, Inc. Allan B. Rappleyea is a Board of Directors Member who has a family relationship with George Whalen III. This family relationship requires the Hospital to respond yes to question 28(b) (because of Mr. Whalen's transaction with the hospital disclosed above). The Hospital paid Corbally, Gartland & Rappleyea $40,301 in 2012 for real estate/real estate tax issue consulting. Board of trustee member Allan Rappleyea is an attorney at the above mentioned firm. Even though this transaction doesn't meet the threshold required for disclosure, since Mr. Rappleyea already has a family relationship with an individual that is being reported on Schedule L, the Hospital has volunteered this disclosure as well. Board of Trustees member Michael Gartland is also a partner with this law firm; however, because the level of compensation paid to the law firm does not exceed $100,000, Mr. Gartland is not rendered non-independent by virtue of this compensation arrangement. Board of Trustees member, Allan B. Rappleyea, has a family relationship with Ms. Mary McCarthy, an individual who is employed by St. Francis Hospital Poughkeepsie. Board of Trustees member, George Whalen, has a family relationship with Ms. Ann Marti, an individual who is employed by St. Francis Hospital Poughkeepsie. Board of Trustees Member, E. Richard O'Shea, has a family relationship with Catherine O'Shea, an individual who is employed by St. Francis Hospital Poughkeepsie. By virtue of these relationships, the Hospital has determined that Board Members, Joseph De Virgilio, Sephir Hamilton, George T. Whalen JR., George T. Whalen III are not independent Board Members. President & CEO Robert Savage, receives compensation in excess of $100,000 for services rendered to the Hospital (which, accordingly, makes him non-independent). Board Member, Allan Rappleyea has various family relationships with individuals who are compensated by St. Francis Hospital (in some capacity), and, by virtue of these relationships, is likewise not considered independent. Policies FORM 990, PART VI, SECTION B Line 11: The Form 990 is presented annually to the Audit and Compliance Committee for review, comment and approval. The presentation includes discussion of the compilation process, current year disclosures, overview of relevant schedules, compliance review, education regarding future changes to the form, and recommendations going forward. The Board approves the Form 990 for filing with the Internal Revenue Service. Line 12: All members of the Hospital's Board of Trustees, as well as all officers and employees must annually file a Conflict of Interest Disclosure Statement with the Hospital's Compliance Officer, who shall keep a confidential file of these Statements and consult with outside counsel, as necessary, concerning any potential problems or possible conflicts of interest. The Compliance Officer will review any disclosure (including Board members and other personnel covered by this policy), consult with counsel as necessary, and determine if such financial interest or outside relationship creates a conflict of interest, is improper, or creates the appearance of a conflict of interest or of improper conduct. The Compliance Officer will also review the information to determine if additional disclosures or other action is necessary. Full disclosure and recommendations will then be made to the Audit and Compliance Committee of the Board of Trustees as to the appropriate course of conduct or corrective action for the Hospital and for the personnel involved. Once a final decision is made on how to proceed, the personnel will be instructed as to the course of action decided upon. Line 15: The Executive Committee serves as the Compensation Committee for the President and CEO including an annual evaluation of the President and CEO. The Committee utilizes survey data to determine comparability for compensation. Compensation of other Officers and Key Employees is determined by the CEO, with consultation and recommendations from the Executive Committee. Survey data is utilized in conjunction with the standard Hospital annual employee appraisal process. Compensation decisions and reports are contemporaneously documented in the minutes of the meeting of the Committee when the decisions are made.
