The membership of the AFA consists of institutional (95) members and individual members (27). Any non-profit art museum, college and university art gallery, art center or other visual art institution may become an institutional member upon application and upon satisfaction of such additional requirements as the Board may establish. Any individual, other non-profit institution, business corporation or other business entity who has an interest in the objective of AFA may become an individual member.

PROCESS BY WHICH CONFLICT OF INTEREST POLICY IS MONITORED AND ENFORCED

During the first quarter of each calendar year the members of the Board are given a copy of the Conflict of Interest Policy and are requested to sign a Conflict of Interest Disclosure statement. The conflict of interest policy requires any trustee or officer to disclose any direct or indirect financial or other material interest or co-investment interest that he or she has or reasonably expects to have in any proposed or existing contract, transaction or agreement with the American Federation of Arts or in any other matter under consideration or to be considered by the Board of Directors, Executive Committee, the Endowment Committee or any other Board Committee. The trustee or Officer making the disclosure shall not be present during the meeting while the determination of a conflict of interest is discussed and voted upon by the disinterested members of the Board or Audit Committee after determining what is in the best interest of the American Federation of Arts. These executed documents are maintained in the Director's office.

The Executive Commiteee will make a recommendation to the board of Trustees for the compensation of each highly compensated person which shall include a description of the factors reviewed and deemed relevant by the Committee. The Board of Trustees must approve the initial and annual compensation of any highly compensated person and include a written record of such approval process in minutes of the meeting during which the compensation was approved, including, without limitation: a description of the compensation and benefits and the date it was approved; a description of the factors considered, and a list of the members of the Board of Trustees who were present during deliberations and the results of the vote. The Chairman of the Board of Trustees, who is a volunteer and not compensated by the AFA, will operate independently without undue influence from the Director. No member of the Executive Committee will be a staff member, the relative of a staff member or have any relationship with staff that could present a conflict of interest. No Board Member shall receive compensation except for reasonable reimbursement of preauthorized expense.
