Form 990, Part VI, Line 1a: Explanation of Delegated Broad Authority to Committee
1) The Executive Committee shall consist of all elected officers, the immediate past Chairman of the Foundation, and two members-at-large appointed by the Chairman, with the legal counsel to the Foundation serving in an ex-officio non-voting capacity. The Chairman of the Board shall be the chairperson of the Executive Committee.(2) The Executive Committee shall: (A) review all items coming before the Board and give its approval, disapproval or recommendations for change; (B) serve as an advisory group for the President; and (C) develop agenda for Board meetings. 3) During intervals between meetings of the Board of Directors, and subject to such limitations as may be imposed by resolutions of the Board of Directors, the Executive Committee shall have and may exercise all of the powers and authority of the Board of Directors, but shall not have power to fill vacancies in the Board of Directors, to change the membership of or fill vacancies in the Executive Committee, to remove officers from office, to add or remove Directors, to change the Bylaws, or to take any actions which are required by law to be taken by the Board of Directors. All minutes of meetings of the Executive Committee shall be submitted to the next succeeding meeting of the Board of Directors; but failure to submit the same or to receive the approval thereof shall not invalidate any completed or uncompleted action taken by the Foundation upon authorization by the Executive Committee prior to the time at which the same has been, or was, submitted to the Board of Directors.(4) The designation of the Executive Committee, and the delegation of authority thereto, shall not operate to relieve the Board of Directors, or any member thereof, of any responsibility imposed upon it or him/her by law.
