During 2012, World Hope International dissolved World Hope Microcapital Fund LLC, a disregarded entity, and assumed it's assets. The LLC did not have any liabilities. This Fund was used to manage and make microfinance loans. Microcapital stopped making loans during 2011 and World Hope is now carrying out its economic development work through the creation of supply chains.

The Form 990 was completed internally and then reviewed by a tax attorney who specializes in the matters of exempt organizations. After the review was completed, the form was electronically sent to all members of the board of directors two weeks prior to the semi-annual board meeting. At the board meeting, the Treasurer presented the return and opened the floor for questions and discussion. The board was then asked to vote on the acceptance of the Form 990 as presented for filing.

Annually, at a regularly scheduled board meeting, each member of the board of directors is given a conflict of interest questionnaire to complete and sign. Employees who are officers, key personnel of World Hope or its for profit subsidiary are required to complete and sign the questionnaire as well. The questionnaire requests disclosure about partner and related organizations to identify individuals who would need to recuse themselves from discussions and votes regarding such entities as specified in the conflict of interest policy. Conflicts of interest would be brought to the attention of the Executive Committee for consideration to take appropriate actions.

During a regularly held board meeting that took place in September 2010, the Executive Committee comprised of the Chair, Vice-Chair, Treasurer and Secretary being free of conflicts of interest reviewed the salary of the CEO at that time in comparison to comparable compensation data found in Form 990s of like organizations, local and national. At that time the compensation was determine to be fair and reasonable. After the review by the Executive Committee, the salary was presented along with the comparative data to the full board for approval. During September of 2011, there was a transition to a new CEO who was offered less than the former. At that time, it was decided to rely on the compensation review performed the previous year to determine reasonableness. The salary of the new CEO was presented to the full board for approval. During 2012, the CEO's salary was not adjusted. The CFO's salary was not adjusted during 2012, but was reviewed at the time of hire during 2011.
