The Form 990 is prepared by the University's Controller. It is reviewed by the University's President, Chief Financial Officer, Senior Vice President for Finance, and in-house legal counsel. A review is also performed by the University's outside tax advisors. The draft Form 990 is then presented to the Audit Committee of the Board of Trustees for approval, followed by distribution of the final copy of the Form 990 to all members of the Board of Trustees before it is filed.
COMPLIANCE WITH CONFLICT OF INTEREST POLICY

Annual officer and key employee disclosure forms are reviewed by the Interim Associate Vice President of Human Resources and University Counsel. Potential officer and key employee conflicts are vetted with supervisors in consultation with the Interim Associate Vice President of Human Resources and University Counsel. Annual trustee disclosure forms are reviewed by University Counsel, who prepares a spreadsheet listing trustee conflicts for the Board's committee on trustees. This list is used as a guide to ensure that conflicted trustees are recused from discussions and votes when appropriate.
PROCESS FOR DETERMINING COMPENSATION FOR OFFICERS AND KEY EMPLOYEES

Each year, the Chair of the Board of Trustees asks the Human Resources department of the University to collect comparative presidential compensation data from the College and University Professional Association for Human Resources (CUPA-HR), as well as published 990 data from such sources as the Chronicle of Higher Education, to use in setting the annual compensation of the President of the University for the upcoming year. With respect to other University officers, each year prior comparability data from our peer institutions (12 doctoral class institutions of similar size, scope and organizational complexity, locally and nationally) is collected and summarized for review by the President. This data, which is obtained via survey, and, in some cases, via outside independent consultant, is used by the President, to propose compensation adjustments to the independent Compensation Committee of the Board of Trustees. The University's President does not take part in Board votes relating to matters involving his compensation, benefits and other terms and conditions of his employment, or participate in or attend Board discussions relating thereto, except he may provide information or respond to questions when requested to do so by the Compensation Committee. The University further has a robust performance evaluation process in place, the results of which are considered during the compensation determination process. The competitive data is also used in determining compensation offers for new hires at the executive level. Once this data is collected and presented for approval by the Compensation Committee and the Board of Trustees, documentation of the decisions and the discussions surrounding those decisions are written by the Special Assistant to the Board of Trustees and filed with the University Archivist, along with the minutes of the meetings for documentation and historical record.
