As a result, there are activities that are performed that may be construed as lobbying activities. The Society maintains a presence on the world wide web. Included on our website is a webpage dedicated to legislative updates with regards to the Society's state appropriations. This webpage may at times encourage the public and the Society's members to contact their legislators on behalf of the Society in support of our appropriations and any pending legislation that is before the MN legislature. Our website includes an email program that helps constituents to directly contact their legislators. In addition the Society employs a Director of Public Policy and Community Relations whose primary function is to act in an administrative capacity in providing budgetary information to the State of Minnesota and to act as a legislative liaison. At times this position may have direct contact with members of the legislative body or the public in a manner such that the activity could be construed as lobbying. Contract personnel may be hired during the legislative session. Some of the work performed by the contract employee(s) may also at times be construed as lobbying. The Society also organizes a one day rally at the State of Minnesota Capitol building to encourage the public and our members to meet their legislators and to promote support of the Minnesota Historical Society. Lastly, the Society has employed a lobbying firm to represent the Minnesota Historical Society at the Minnesota State Legislature. Lobbying activities represent an insignificant amount of the Society's annual operating expenses.

The MHS undertakes such efforts with the following two categories of properties: 1) those transferred by the MHS or another State of Minnesota agency to a third party (not itself, the state or a state agency) subject to a restriction enforceable by the State of Minnesota's Historic Preservation Office that the property will retain and have ensured its long-term historic preservation as a National Register Property; and 2) those owned by an entity who has received federal grant funding in favor of improvements on the property subject to the requirement that a conservation easement be granted to the State of Minnesota Historic Preservation Office (for a specified time period) as a condition of such federal grant funding. These easements are not recorded in the revenue and expense statement or on the balance sheet or in the audited financial statements footnotes due to the fact that MHS does not have a financial interest in these properties. In both of the above categories, MHS undertakes and conducts a monitoring role to ensure the continued preservation of the property's historical significance and character.

SchD_P10_S00_L02	Schedule D, Part X, Line 2	The Society has received a determination letter indicating that it is exempt from federal and state income tax as an organization described in Section 501(c)(3) of the Internal Revenue Code and corresponding State of Minnesota Statutes. The Society monitors its activities and it considers the potential for income taxes if any activities are not related to its exempt purpose. The Society engages in activities that are considered as unrelated to its exempt purpose. These activities are subject to federal and state income taxes. However, the Society has a net operating loss carry-forward available to offset future taxable income from these unrelated activities. Accordingly, no federal or state tax provision is required in the current year. The net operating loss carry-forward of $217,824 begins to expire in 2020. The Society follows the financial accounting standards relating to uncertainty in income taxes. The Society had no uncertain tax positions and accordance with regulations the Society's federal and state tax returns are open for examination for the fiscal years ended June 30, 2009-2011.

F990_P06_S0B_L15	Form 990, Part VI, Section B, Line 15	In calendar year 2011 the Minnesota Historical Society underwent two searches, one for a new Director and Chief Executive Officer and the other for a Chief Financial Officer. Both searches were managed by Search Committees, which as part of their duties performed a full compensation review of each position being hired. Subsequent to the hiring of the Executive Director and CEO, the Executive Council created an Executive Compensation and Performance Review Committee which annually reviews the Executive Director's performance and makes compensation recommendations.

	Historic Sites: Administers historic sites throughout the state for public benefit through educational and entertaining reenactments of key events and historical characters, and participation in living history programs about the people who lived and worked at these historic places; operates the Capitol tour program; administers the State Historic Sites Act. Historic sites continues to preserve over 140 historic structures. Site attendance was approximately 511,000 visitors for the year as we continued to develop and expand programming, such as hands-on workshops, cell phone tours, living history programs, multi-media presentations and self guided walking trails. 2012 also saw a new emphasis, using a new events-focused marketing campaign and a statewide promotional campaign called Museums May to celebrate events and exhibits at Minnesota's cultural institutions throughout the month of May. Both were highly successful and helped to launch a strong tourist season.

	History Center Museum: Maintains the collections used for exhibit purposes in the Society's museums and at county historical societies; plans, fabricates, and installs exhibits at Society interpretive facilities and museums throughout the state; and orients visitors and tells them the stories of important events and persons of Minnesota's past. It also includes auxiliary activities and services at the History Center, such as museum shops, parking, cafe, and building rental. The Minnesota History Center had its second best attendance year on record in 2012, with nearly 250,000 total visitors, many of whom came during the very successful four month exhibition of "The 1968 Exhibit". Other exhibit accomplishments included the "1934: A New Deal for Art" exhibit and "The U.S. Constitution" exhibit. Gallery, School and Public programming all continued to thrive in 2012 with many new initiatives and reinvented programs that touched visitors, school kids and the public at large.

	Outreach and Preservation: Provides technical assistance and grants for historic preservation; conducts historic and archaeological surveys, as required by law; administers a grant-in-aid program supporting projects in preservation and interpretation of Minnesota history; administers the National Historic Preservation Act in Minnesota; provides educational programs to K-12 schools including teacher professional development workshops, National History Day and a sixth grade state history textbook called Northern Lights. Major program accomplishments included awarding 253 Cultural Heritage Grants, placing 20 new properties onto the National Register of Historic Places, awarding 11 bond-funded State Capital Grants-in-Aid and 17 Certified Local Government grants for preservation projects, reached over 11,000 students with the History Player in the Classroom program and saw 30,000 students from more than 250 schools participate in the History Day program. The Archaeology Program conducted 98 discrete project reviews plus 40 miles of corridor surveys which resulted in identification of 55 archaeological sites and 12 historic structures that were previously undocumented. National Register evaluations were conducted for 15 of these properties.

	Library Collections and Archival Services: Maintains and makes available to the public the Society's collection of books, newspapers, maps, photographs, works of art, oral history tapes, private manuscripts and periodicals on Minnesota history; and catalogs, restores and microfilms documents and records to make them available for public use. This program includes the acquisition, preservation and cataloging of public records, as well as the Society's responsibilities as State Archivist. Program accomplishments are often measured by public usage. In 2012 we had over 22,000 researcher and classroom visits and handled almost 12,000 research requests, with over 121,000 objects pulled for viewing. In addition we made over 240,000 copies, processed over 5,000 death certificate orders, launched the 1940 census and revised the Researching Dakota Family History guide.

	Publications: Publishes books and other media related to Minnesota history. 2012 program accomplishments include 564 active titles of which 434 were print books and 130 digital books. 34 new titles were published in 2012 and over 100,000 print and e-books were sold, a 4% increase over the prior year. In addition four quarterly issues of the Minnesota History journal that were mailed to nearly 20,000 members and interested individuals. In addition, the Society launched a new Minnesota digital enclyclopedia, MNopedia, that had over 30,000 unique visits and won a MUSE award from the American Association of Museums.
