THE NORTH CAROLINA STATE ART SOCIETY ("ART SOCIETY") IS A NON-PROFIT SUPPORTING ORGANIZATION OF THE NORTH CAROLINA MUSEUM OF ART, AN INSTITUTION ORGANIZED UNDER THE NORTH CAROLINA STATE DEPARTMENT OF CULTURAL RESOURCES. THE ART SOCIETY IS ORGANIZED UNDER STATUTES OF THE NORTH CAROLINA GENERAL ASSEMBLY FOR THE PRIMARY PURPOSE OF ADVOCACY FOR THE NORTH CAROLINA MUSEUM OF ART AND TO OVERSEE A SIGNIFICANT ART ACQUISITION ENDOWMENT FOR THE BENEFIT OF THE MUSEUM. IN ITS ADVOCACY ROLE, THE ART SOCIETY PROMOTES THE MUSEUM THROUGH A SPEAKER'S BUREAU OPERATED WITH VOLUNTEERS THAT PROMOTE THE MUSEUM'S PROGRAMS ACROSS THE STATE. ART ACQUIRED FROM FUNDS AVAILABLE UNDER THE ART SOCIETY'S ENDOWMENT ARE GIFTED TO THE MUSEUM IN SUPPORT OF ITS ENHANCEMENTS TO THE COLLECTION.

DELEGATION OF CONTROL OVER MANAGEMENT DUTIES

As the North Carolina State Art Society has no employees to help oversee its financial operations, in 2009 they entered into an operating agreement with the North Carolina Museum of Art Foundation, the terms of which include delegation of day-to-day financial processing, annual audit and 990 tax preparation to the Foundation's financial staff. The Society board remains responsible for the oversight of its financial management, reviewing and authorizing all financial transactions made by the Foundation on its behalf. The Foundation financial staff meets regularly with the North Carolina State Art Society's Finance Committee to discuss its financial performance and to evaluate changes to financial policy or administration as needed. The Finance Committee provides a financial overview to the full board quarterly.

The North Carolina State Art Society's governance includes a Finance Committee with oversight of the financial compliance for the organization. During the 2011/12 fiscal year the chair of the Finance Committee had delegated authority to oversee the external audit and related financial statements and the 990 tax filing with support from external legal counsel when required.
MONITORING CONFLICTS OF INTEREST

Imbedded in the North Carolina State Art Society's bylaws is a specific provision related to conflicts of interest. The Executive Committee serves as the compliance and ethics group for the North Carolina State Art Society, overseeing the conflicts of interest policy and managing any conflicts that may arise. In addition, annually the Society is required to certify compliance with its conflicts of interest policies as a part of a state grant process.
