Form 990, Part VI, Questions 6, 7a and b
MEMBERSHIP Section 1. Criteria for Membership as a Trustee: Trustees of the Corporation shall be referred to under these By-Laws as Trustees, and Trustees shall have all of the rights and privileges of membership as provided in these By-Laws. The criteria for membership are as follows: (a) General: Any individual of at least twenty-five (25) years of age, residing or having business in New York State, and who accepts these By-Laws and all rules of the Corporation, shall be eligible to apply for membership in the Corporation, subject to approval by the Executive Committee and the conditions set forth herein, relating to membership. No elected or appointed official currently serving on a full time, paid basis for the city or state of New York or other local jurisdiction of New York State is eligible for membership. (b) Process: Each candidate for membership must be proposed to the Nominating Committee by a current Trustee or Officer. Upon approval by the Nominating Committee, either the Chair or the President may then submit the candidates for membership to the Trustees for a vote, which vote must take place within two (2) weeks of the candidate's name being presented to the Trustees. Membership as a Trustee may be evidenced by a membership certificate signed on behalf of the Executive Committee or such other document(s) or instrument(s) as the Executive Committee may determine as appropriate. (c) No discrimination: No person shall be barred from membership in the Corporation by reason of race, color, creed, religion, national origin, sex, sexual orientation, disability or party affiliation. (d) Number: There may be no fewer than fifteen (15) Trustees, and no more than one hundred and fifty (150) Trustees at any time, with the number to be fixed from time to time by the vote of the entire Executive Committee as provided by these By-Laws. (e) Term: Each Trustee shall be elected to serve a five (5) year term. Each Trustee will be eligible at the end of their term for reelection at the annual meeting of the Trustees. (f) Transferability: No membership nor any aspect of membership shall be transferable except as otherwise provided by law or in these By-Laws. (g) Termination: An individual Trustee's membership shall be terminated by resignation, expiration of the term of membership for which the appropriate membership fee has been paid or death. If any Trustee should become an elected or appointed official currently serving on a full time, paid basis for the city or state of New York or other local jurisdiction of New York State, during their term of membership, such Trustee must resign from membership in the Corporation. A Trustee may be expelled or membership suspended by the Executive Committee with or without cause, upon the vote of 2/3 of the full Executive Committee, voting in person only. Upon termination of membership, all rights and interests of the terminated Trustee in and to the Corporation shall automatically be terminated; provided, however, that the obligation to pay any subscriptions, dues, fees or other charges accrued and unpaid prior to termination, shall continue notwithstanding termination.
