REVIEW OF FORM 990

The Foundation's Form 990 is posted to a secure portal on its website for review by all board members approximately 2 weeks before the return is finalized and filed with the IRS. The Foundation's Audit Committee reviews the Form 990 with the Foundation's external accountants as part of its review and approval process. After the Audit Committee grants its approval the Form 990 is filed with the IRS.
CONFLICT OF INTEREST POLICY

The Foundation has a written conflict of interest policy. All board members are asked to complete and sign a conflict of interest policy form on an annual basis. Compliance is monitored and the Foundation is developing policies and procedures to ensure board compliance with conflict of interest responses.
DETERMINING COMPENSATION

Employees of the Medical Foundation are leased from the University of North Carolina at Chapel Hill. Their compensation is determined in accordance with the pay and employee benefit practices of the North Carolina State Government. The Foundation President has reviewed the compensation paid to each Foundation employee and determined that it is at or below the local market rate of other comparable non-profit organizations. The Foundation plans to engage in a more formal review of the compensation levels for Foundation employees and the process whereby state pay levels are set.

COMPENSATION INFORMATION

Salaries, payroll taxes, and benefits for the Medical Foundation of North Carolina's employees are paid by the University of North Carolina at Chapel Hill. The Foundation reimburses the University for a portion of these personnel costs. The remainder of salaries, payroll taxes, and benefits are contributed services.
