Explanation
Form 990 Part VI Section A Line 2 The Executive Director is the brother-in-law of one of the Board Members. The board member does not transact any business with the organization either in the past or currently In order to avoid any conflicts, the board member abstains from voting on compensation issues regarding the executive director.
Form 990 Part VI Section A Line 6 Membership of the corporation consists of the present members and such other persons as the Board of Directors may from time to time elect to be members of the corporation.
Form 990 Part VI Section A Line 7a Members govern through the election of a Board of Directors by the members. The by-laws of the corporation give the general powers to the board of directors to control and manage the affairs of the corporation.
Form 990 Part VI Section A Line 7b Members review by-laws, policies and directors contract.
Form 990 Part VI Section B Line 11a The annual filing of Federal Form 990 is to be reviewed by the Finance Committee and presented to the Board of Directors annually.
Form 990 Part VI Section B Line 12c The conflict of interest policy is monitored by periodic reviews to ensure the Center does not engage in activities that could jeopardize its status as an exempt organization. The reviews include reasonable compensation services not to result in private benefits partnership/joint venture arrangements if in existence at proper reasonable payments for goods and services any other arrangements leading to personal private benefits to employees, board member and/or their family members.
Form 990 Part VI Section B Line 15a The Board of Directors annually reviews the compensation of its executive director The Board of Direrctors annually compare the compensation packages offered to mthe exsecutive director with other non-profit organizations to insure comparative packages and is reveiwed through the boards budget process. Also uses a trade association survey issued yearly.
