| Form 990, Part VI, Line 7a: How Members or Shareholders Elect Governing Body | SECTION 7.2 Nomination. The Board shall, not less than thirty (30) days preceding the election date (as described in Section 7.3 below), appoint a Nominating Committee of seven (7) Voting Members of the Club, which shall include the current President of the Club, the immediate past President of the Club, the Mens Golf Association Board President (or his designee), the Ladies Golf Association President (or her designee), the President of the Tennis Association (or a designee), if these associations are inclined to serve, and two (2) other non-director Voting Member of the Club. Such committee shall nominate as candidates for the Board, a number of candidates not less than the number of directors whose terms are expiring. The nominees from the committee (the Committee Nominees) shall be reported to the Board of Directors. The Board must approve each Committee Nominee by a majority vote of those Directors present at a meeting held to approve such nominees. The meeting may be a regularly scheduled Board meeting pursuant to Section 7.4, or another specially called meeting by the Board President.Other nominations may be in writing with the signatures of at least twenty-five (25) or more Voting Members in good standing and placed in the hands of the Secretary no later than October 15, including a statement of the candidate so nominated, stating, if elected, he or she is willing and able to serve as a Director (the Other Nominees). The Secretary shall report the list of those Other Nominees who meet the criteria herein to the Board of Directors.At least twenty-one (21) days before the Election Day, the Secretary shall:A) Post the names of all persons as nominated and the date of the Election Day on the Club Bulletin Board; andB) mail the list of all such nominations with notice of the Election Day to the Voting Members along with a ballot for voting.The ballot for voting shall designate the Committee Nominees as those nominees selected by the Nominating Committee and approved by the Board of Directors.SECTION 7.3 Election of Directors. The election to fill the expiring terms of the Board of Directors shall be held no later than the third Wednesday in November of each year and shall be by written ballot only. The election process shall be conducted and overseen by an Election Committee, consisting of three (3) Voting Members appointed by the President for that purpose, none of whom shall be a Member of the Board. The terms of the elected Directors shall be three (3) years, commencing January 1 of the year following their election. There shall be one vote allowed per Voting Member who is in good standing. Ballots cast by Voting Members who are not in good standing shall not be counted. Signed and completed ballots may be submitted in person at the Club, by absentee vote via U.S. mail, or by proxy. No Voting Member shall be entitled to vote more than one proxy on behalf of another Member. All voting will begin on the date the list of nominees and the ballot are mailed as per Section 7.2, and will cease at five (5) p.m. on the day of the election. Any ballot received after the close of elections will not be tabulated. All ballots will be verified as valid and tallied by the Election Committee immediately following the close of the election, with a report submitted to the Secretary of the Club regarding the results. |
