    approximately $5 million for these services resulting in over a $1 million shortfall
    for the fiscal year.

Pt V Sec B 7   A number of health needs were identified in the CHNA that will not

Pt VI Line 3   The organization's Patient Financial Assistance policy is posted at
    every registration office including the patient account representatives
    offices and the Emergency Department. The policy is also advertised
    annually in the local newspaper.
Pt VI Line 4   The organization serves Tioga County and surrounding areas.
    Tioga County is located in rural Northcentral Pennsylvania and has a
    population 41,981,as of the 2010 census. The median household income was $42,607
    with 15.7 percent of the residents below two times the Federal Poverty level.
Pt VI Line 5   The organization participates in community building through
    various means such as making parts of the building (conference rooms,
    cafeteria, etc) available for public meetings, blood drives, CPR classes,
    expectant parent classes, and EMS continuing education among others.
    The hospital has a large group of volunteers from the community who donate
    time to assist the organization in providing care and well being to the
    community it serves. For fiscal 2013, SSMH had 83 volunteers donate
    approximately 8800 hours of their time.
Pt VI Line 5   The facility has an open medical staff policy. The Board of
    Directors is composed of various community leaders who provide insight
    on the needs of the community and how best to guide the organization
    to best serve those needs. Surplus funds are reinvested into
    the facility to allow the system to better serve the community.

Pt I Line 6b   The Laurel Health System's Executive Compensation Policy and Program describes Laurel Health System's executive compensation program for key senior managers. Laurel Health System's annual incentive plan is designed to focus the attention of key executives on the key annual system goals as approved by the Board of Trustees, and to be performance-based; each individual's compensation is based on both System and individual performance. The Executive Compensation Committee of the Board (Committee) adopts performance measures annually, establishes a target incentive pool of funds, and awards the actual incentives at the end of the year based on actual performance against the established standards. Laurel Health System targets both base and total cash compensation at the 50th percentile (P50) of the market of comparable health systems. Laurel Health System's incentive plan consists of System circuit breakers, system performance measures and individual incentive targets, which are established and approved annually by the Committee. Performance measures assess overall Laurel Health System performance and are calibrated in terms of threshold, target and maximum performance levels. Measures include financial and nonfinancial criteria in order to reflect a balanced sense of System performance. Incentive targets are expressed as a percentage of base salary and are reviewed annually to reflect internal equity and external competitiveness.
Pt I Line 4a   The actual incentive fund is determined at the conclusion of the fiscal year once the performance levels for the System performance measures are known. Award levels for each measure are calculated using the weight for each measure and the performance levels.

Pt VI, Line 6   Soldiers and Sailors Memorial Hospital (SSMH) is one of four hospitals which is part
    of Susquehanna Health System (SHS). The mission of SHS is to promote health by acting
    as the parent of a nonprofit health system in North Central Pennsylvania
    and by raising funds and otherwise supporting the system. SSMH is a sole
    community hospital that provides a full range of outpatient and emergency
    services. MVH is a critical access hospital, primarily serving Lycoming and
    surrounding counties. MVH also provides a full range of outpatient and emergency
    services, as well as, operates a long term care facility. Divine Providence
    Hospital (DPH) is a specialty hospital that offers inpatient psychiatric services
    a wide array of outpatient hospital services, as well as, home health
    services. The Williamsport Hospital (TWH) is an acute care community hospital
    providing diagnostic and treatment facilities, educational and
    training programs, and a rehabilitation facility. The hospitals treat
    Medicare and Medical Assistance patients and maintains a Medicare/
    Medicaid Assistance policy that provides patients enrolled in such
    programs with access to all covered inpatient, outpatient and
    diagnostic services that are available to non-Medicare/Medical
    Assistance patients. The Green Home (TGH) operates a long-term care

    on a system-wide basis under SHS. On an annual basis, SHS devotes a portion
    of its revenue and assets to community program services. The
    following reflects the breakout of $64,636,443 in quantifiable community
    benefits reported for FY 2012: Charity Care (at cost) $1,514,665, Bad Debt
    (at cost) $8,954,593, Government-sponsored health care (unpaid cost
    of Medicare, Medicaid, indigent care programs, SCHIP and other safety
    net programs $47,969,226. In addition, various other programs such as
    Research, Health Professions Education, Community Building, Financial and
    In-Kind Contributions, and Community Benefit Operations totaling
    $6,198,958.
Pt VI, Line 7a   Susquehanna Health System (SHS), EIN 23-2751183, may elect or remove
    members of the governing body.
Pt VI, Line 7b   All the business and affairs of the corporation shall be managed and controlled
    by the Board of Directors, subject to the oversight of the sole Member,
    Susquehanna Health System (SHS), of the management and operation of
    the corporation, except that the following powers are reserved exclusively
    to the sole Member of the corporation, and no attempted exercise
    of any such powers by anyone other than the sole Member shall be valid
    of any force or effect whatsoever. The sole Member shall exercise its power
    through its Board of Directors. The sole Member shall have the exclusive

Pt VI, Line 11b   A high-level overview of Forms 990 is presented to the parent Board of
    Directors (Susquehanna Health System, EIN 23-2751183) before filing
    and complete drafts of all returns are made available to all Board
    members through the CEO's and CFO's office.
Pt VI, Line 12c   Annually on the 1st day of January Susquehanna Health System sends to all
    directors, officers, management staff and contracted physicians
    a questionnaire to be completed and returned by Jan 15.
    A report is submitted to the board of directors to notify
    them of any conflicts of interest disclosed.
Pt VI, Line 15a   On a bi-annual basis an independent compensation consulting firm performs
Pt VI, Line 15b   an analysis of the leadership salary structure in relationship
    to the labor market using data from four different salary

    its recommendations for the proposed executive salary
    structure to the committee for their consideration and approval.

Pt XI   On September 1, 2012, the Laurel Health System (LHS) and
    related entities executed an affiliation agreement with
    Susquehanna Health System (SHS). Related entities include
    Laurel Health Foundation (LHF), Soldiers & Sailors Memorial
    Hospital (SSMH), North Penn Comprehensive Health Services,
    Inc. (North Penn), The Green Home (TGH), Tioga Health Care
    Providers, Inc. (THCP),Tyoga Carenet (TCN), Tioga Management
    Services, Inc. (TMSO), Laurel Realty, Inc. (LRI), and
    Laurel Management Services, Inc. (LMS). As part of the
    agreement, SHS became the sole member of LHS and related
    entities, with the exception of North Penn and LHF.
    Generally accepted accounting principles require that assets
    and liabilities be recorded at fair value on the affiliation
    date of September 1, 2012. As a result, a reduction of
    $1,588,989 was made to the value of SSMH's property and
    equipment to adjust the carrying amount to the fair value.
    Accordingly, unrestricted net assets were reduced by a
    corresponding amount.
Part V Line 1a   All 1099's were issued by Laurel Health System (EIN 24-0795488) for the two
    months ended August 31, 2012. All expenses were then allocated back to the
    related entities.
    All 1099's were issued by Susquehanna Health System (EIN 23-2751183) for the ten
    months ended June 30, 2013. All expenses were then allocated back to the
