ON AUGUST 23, 2013, THE SECOND AMENDED AND RESTATED CERTIFICATE OF INCORPORATION OF DCIC (CERTIFICATE) WAS FILED WITH THE DELAWARE SECRETARY OF STATE. THIS CERTIFICATE WAS PREPARED AND FILED IN ANTICIPATION OF THE ACQUISITION OF DCIC AS A WHOLLY OWNED SUBSIDIARY OF GREAT LAKES CAPITAL FUND NONPROFIT HOUSING CORPORATION (GLCF), WHICH CLOSED ON SEPTEMBER 5, 2013. THE CERTIFICATE IMPLEMENTED CERTAIN CHANGES NEEDED TO CONVERT DCIC FROM A STOCKHOLDER AND MEMBERSHIP NONPROFIT CORPORATION TO SOLELY A MEMBERSHIP NONPROFIT CORPORATION IN ORDER TO FACILITATE THE ACQUISITION AS WELL AS CHANGES TO THE COMPOSITION OF THE BOARD OF DIRECTORS. SINCE NONE OF THE ORIGINAL STOCKHOLDER INTERESTS BORE ANY EQUITY INTEREST AND THE ONLY DISTINCTION BETWEEN THE ORIGINAL STOCKHOLDERS AND MEMBERS WERE VOTING RIGHTS (THE FORMER HAVING ALL OF THE VOTING RIGHTS AND THE LATTER NONE), THE CERTIFICATE CONVERTED ALL INTERESTS (BOTH STOCKHOLDER AND MEMBERSHIP) TO VARIOUS MEMBERSHIP INTERESTS CLASS A-1 MEMBERS (WITH ALL THE VOTING RIGHTS, INCLUDING THE RIGHT TO ELECT 5 MEMBERS TO THE BOARD, EXCEPT AS HEREINAFTER NOTED), CLASS A-2 MEMBERS (WITH VOTING RIGHTS TO ELECT 3 MEMBERS OF THE BOARD OF DIRECTORS ONLY) AND CLASS B MEMBERS (WITH NO VOTING RIGHTS WHATSOEVER). THESE CHANGES WERE DULY APPROVED BY THE BOARD OF DIRECTORS.
