PIONEER MANAGEMENT SENDS OUR CONFLICT OF INTEREST POLICY (INCLUDING 990 REQUIRED DATA) TO OUR BOARD, HIGHLY COMPENSATED EMPLOYEES, AND KEY EMPLOYEES FOR REVIEW ANNUALLY. THE POLICY ASKS VOTING BOARD MEMBERS, HIGHLY COMPENSATED EMPLOYEES, AND KEY EMPLOYEES TO REVIEW THE LIST (INCLUDING SERVICE PROVIDERS PAID MORE THAN $100,000) AND DISCLOSE RELATIONSHIPS WITH THOSE STATED. EACH POSSIBLE CONFLICT OF INTEREST, IF AND WHEN IT OCCURS, IS REVIEWED BY OUR CFO AND THE CONTROLLER. IF A CONFLICT OF INTEREST EXISTS, THE BOARD MEMBER INVOLVED WOULD RECUSE HIM/HERSELF FROM DISCUSSION AND VOTING ON THE MATTER OR TRANSACTION. IF IT IS DETERMINED THAT THE RELATIONSHIP SHOULD BE DISCLOSED ON FORM 990, THE CFO MEETS TO DISCUSS THE MATTER WITH THE BOARD OF DIRECTORS.
FORM 990, PART VI, SECTION B, LINE 15
PIONEER'S CEO, CFO, COO AND VICE PRESIDENTS' COMPENSATION IS DETERMINED WITH THE HELP OF MILLIMAN CONSULTING AND MARKET SURVEYS IN THE SEATTLE AREA. THEY MEET AND DISCUSS THE CEO'S SALARY AND BONUS FOR THE YEAR. THIS PROCESS WAS PERFORMED AND COMPLETED ON MARCH 1, 2013.
