Form 990, Part VI, Section A, Line 2
Seven trustees are related. Mr. Lewis J. Moorman III (vice chair), Mr. Charles Slick, and Ms. Phyllis Cowell are first cousins. Another trustee, John Kerr, is married to Susan Moorman Kerr, who is Mr. Lewis J. Moorman III's sister and is similarly a first cousin to Mr. Charles Slick and Ms. Phyllis Cowell. Mr. Lewis J. Moorman IV is the son of Mr. Lewis J. Moorman, III. Dr. Jamo Rubio (trustee) is married to the daughter of Walter Embry (trustee).

The Form 990 is reviewed by the Audit Committee of the Board and after meaningful review; the Audit Committee recommends the entire Board approve the document. At the next regularly scheduled Board meeting, the Board approves the Form 990. All questions are answered before the Board approves the filing of the Form 990.

Staff gathers and reviews the required conflict of interest disclosure forms from all Board members, officers, and key employees. The Audit and Compliance Committee is made aware of any disclosures and initiates any required follow-up.

The Executive Committee reviews and appproves executive compensation. At the Executive Committee meeting where the budget is approved, the committee also determines any changes in compensation for the upcoming year for the CEO, Chief Scientific Officer, Chief Financial Officer, and Chief Development Officer. They are provided with information from salary surveys and the performance evaluations of these staff, where appropriate.

Includes cost of tests performed supporting Texas Biomed's research initiatives for clinical and anatomical pathology procedures and virology and immunology procedures. In addition, includes cost of consultations, collaborative research, subcontracts and other services which primarily supports Texas Biomed's research initiatives and adminsitration.
Form 990, Part XII, Line 1
As of January 1, 2013, Texas Biomed recognizes grants receivable when grant-in-aid revenue is recognized, as expenditures are incurred under the terms of the award to the extent of agreed participation by the awarding organization. Prior to January 1, 2013, Texas Biomed recognized receivables amounts awarded by the National Institutes of Health and other organizations for research projects which reflected amounts awarded for the next grant year. The amounts were treated as unearned revenue until expenditures were made under terms of the awards, at which time revenues were recognized to the extent of agreed participation by the awarding organization. The change in the recognition of receivables was facilitated by the implementation of the grants accounting system, which made information available to accurately recognize and bill revenue immediately as qualifying expenditures were incurred. Certain amounts previously reported amounts of December 31, 2012 have been reclassified to conform to the current receivables policy.
