Explanation
Members or stockholder classes and rights Part VI line 6
The members of Taipei American School Association are comprised of each parent of a student currently enrolled in the School. These members are entitled to have (1) vote on all matters relating to the Association. The Associations sole purpose is to elect the board of directors of the Foundation. The Chairman of the Association chooses 5 members to serve on a nominating committee to choose a slate of persons, 2 times the number of board members to be elected. The entire Association membership then elects the board of directors for the Foundation. Prior to May 2013 the Board of Directors was comprised of nine members of the Organization, elected by the members as described above. The Articles of Association were amended in May 2013 to allow up to 4 appointed members of the Board to allow up to 4 appointed members of the Board of Directors in addition to the 9 elected members of the Board of Directors. Each new appointed board member requires the approval of six of nine elected members. The vote for each of the new members is conducted separately. The elected Board as a whole has voted to appoint two board members in school year 2013-2014. Therefore, in school year 2013-2014 there were 11 members of the Board of Directors total.

Form 990 governing body review Part VI line 11
The form 990 was reviewed by an independent public accounting firm. The Form 990 was then reviewed by the Superintendent and Chairperson of the Board. Subsequent to the Superintendents and Chair's review, all voting board members were provided a complete copy of the Form 990 for their review. There were no additional changes to the Form 990 from their review, and the Form 990 was then filed with the Internal Revenue Service.
Conflict of interest policy compliance Part VI line 12c
The Chairperson of the Board is charged with monitoring for conflicts of interest and addressing any potential or actual conflicts of the officers and board members. Although the board and officers are not required to complete an annual conflict of interest questionnaire, the officers and board members self-report in writing to the full Board any conflicts of interest or potential conflicts of interest that may arise. Officers and board members will recuse themselves from any deliberation over issues involving a conflict of interest.

The Board of Directors, none of whom had a conflict of interest with respect to the compensation arrangement, evaluated the superintendent's compensation during the tax year. The salary adjustment, if any, was reviewed by the compensation committee which consists of the Board Chair, Vice Chair, Secretary and the M&R (Management & Resources) Committee Chair. It was then approved by the full board of directors before becoming part of the budget. The board sought feedback from an independent compensation & benefit firm, gathered benchmarking data from comparable schools in the EARCOS region and reviewed the superintendent's compensation as disclosed in Form 990s of similarly sized private schools. The committee's discussions and deliberations were contemporaneously documented.

The Administrators' compensation is approved by the Board upon initial hire based on the Superintendent's recommendation using benchmark compensation for similar size overseas schools. Periodic salary adjustments are approved by the Board Chair and M&R Chair and provided to HR and Controller offices for inclusion in the approved annual budget.

Other changes in net assets or fund balances included currency exchange gain $392,711. This currency exchange gain was offset by the uncollectible pledge $16,739.
