The YMCA is focused on exercising the potential of each one of us to make healthy choices at every stage of our lives. We're a nonprofit well-known for our 23 centers, 5 resident camps, 13 early education and care programs, 15 community schools, 4 regional housing centers and 6 senior housing centers. We've also moved wellness beyond the gym to prepare our next generation with the physical, academic and social skills they need to thrive. We provided $3,194,704 in aid for low-income families in 2013. Our neighborhood base helps strengthen communities through programs offered at more than 100 dedicated sites for youth development, where we serve over 10,000 children every day. As one of the largest and oldest/most established cause-driven organizations/nonprofits in Chicago, the YMCA strengthens neighborhoods by responding to unique community needs across Chicago, which includes providing services to: - 210,471 members (50,934 under 18 years old) - 276,505 participants in programs ranging from sports and aquatics to after school and 18 specialty camps for children with physical and mental disabilities - 5,838 individuals in 5 human services programs - 2,651 children at 15 community schools in partnership with Chicago Public Schools - 2,059 individuals served in 5 resident camps - 1,599 children in 13 early education and care sites (6 weeks-12 years old) - 641 youth through the Black and Latino Achievers program (12-18 years old) - 497 adults acquiring basic education, vocational training and employment assistance - 225 at-risk youth through the Youth Safety and Violence Prevention Initiative

The Board of Trustees of the YMCA of Metropolitan Chicago must vote in favor of any and all decisions by the Board of Managers with respect to the sale of real property.

The Board of Managers is the governing body of the Association. The Board has delegated responsibility for the review of the annual Form 990 to the Audit and Finance Committee of the Board, comprised of 8 members of the Board of Managers. A copy of Form 990 was made available to all board members prior to filing with the IRS.
Form 990, Part VI, Section B, line 12c
All officers and Board members must disclose any and all potential conflicts. Board members are required to provide a signed statement annually listing all such conflicts. The statements are reviewed by the General Counsel and any items of concern are reported to the President of the Association and the Chairman of the Board of Managers and Chairman of any Board committee that may be affected. If in the opinion of the Chair the conflict is a direct conflict of interest, that member must recuse him- or herself and abstain from any vote or action on the subject of the conflict.
Form 990, Part VI, Section B, line 15
For the President and CEO and his/her direct reports: -Direct reports provide the CEO with a self assessment. -VP of Human Resources provides the CEO with market data/wage ranges/other pertinent salary information for each of the direct reports as well as the CEO's own market data and wage range. -CEO and the VP of Human Resources prepares a package for the Compensation Committee of the Board of Managers of the Association that includes: organizational accomplishments salary, and market information, direct reports self-assessments, CEO's self assessment. CEO also provides a summary review write up of each direct report along with a salary and/or bonus, if any, recommendation for each. -VP of Human Resources convenes the Compensation Committee which includes the Chairman of the Board of Managers and a minimum of two other members of the Board of Managers to discuss organization performance, performance of CEO and each direct report and approve or alter salary recommendation provided by the CEO. Chairman of the Board makes recommendation to committee on CEO's salary change. -Chairman of the Board communicates Compensation Committee decisions for CEO and direct reports to VP of Human Resources. VP of Human Resources documents decision in writing to CFO for payroll processing. -Documentation is kept by VP of Human Resources. -An independent compensation consultant and Form 990 of other organizations are also used in the process to determine the CEO's compensation. For other key employees: Executive Directors and Officers (non-direct reports to CEO): -Normal annual performance review and merit increase process. -Employee completes self-assessment. -Manager (Usually a VP level or above) writes performance review. -Merit increases are made within the guidelines set by senior management and communicated by VP of Human Resources. -Merit increase is reviewed and approved by GVP, Senior VP and VP of Human Resources. VP of Human Resources reviews decisions, discusses and obtains approval of any exceptions to guidelines with CEO and approval by independent persons. -Includes contemporaneous substantiation of the deliberation and decision -VP of Human Resource's review includes: Comparison of market data and wage ranges with key employee's salary, assessment of internal equity of like positions, discussion and guidance to ED or VP/EVP on salary for key employees.
