Southwest General Health Center is the Shareholder of Southwest General Medical Group.
Form 990, Part VI, Section A, Line 7a
The Shareholders shall elect the Directors annually and shall determine the number of Shareholders of record. The Board of Directors shall elect a President, Secretary, and Treasurer, and may elect a Chairman of the Board, one or more Vice Presidents, and such other officers and assistant officers as the Board may deem necessary.

The business, power and authority of Southwest General Medical Group shall be exercised, conducted, and controlled by the Board of Directors, except where the law, Articles of Incorporation, or the Code of Regulations require action to be authorized or taken by the Shareholders, including but not limited to the adoption of the Corporations fee schedule which shall be based upon the usual, customary, and reasonable charges for medical services in the community.

The 990 is reviewed internally by the CEO, CFO, and Chief Accounting Officer. It is presented and reviewed at the Audit Committee of the Board of Trustees Governing Board meeting on October 16, 2014. The return is distributed electronically to the entire board before filing. Also prior to filing, the entire Board is presented with a review of the highlights and key points of the 990 at their October meeting.

Southwest General Medical Group has a written Conflict of Interest Policy that requires our officers, directors, and employees to annually disclose potential conflicts of themselves or their family members on a questionaire distributed by the Privacy Officer. To comply with on-going monitoring, periodic reviews are conducted of the reasonableness of compensation and benefit arrangements whether acquisitions of physicians practices and other provider services result in impermissible private benefit and whether agreements to provide health care agreements with other health care providers, employees, and third party payors further the Corporations charitable purposes and do not result in impermissible private benefit. In the event of a conflict the Board will determine disciplinary and corrective action.
