Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder
The members of the corporation shall be those persons who have made an unrestricted contribution, or annual dues, to the general operating expenses of the corporation in a fixed sum as determined by the Annual meeting each year by the Board of Directors. When dues are paid in full, membership is effective immediately for the remainder of the membership cycle (February 1 through January 31). Any member may resign as such at any time by written notice to the Clerk of the corporation. Memberships may be terminated for cause in accordance with procedures determined by the Board of Directors.
Form 990, Part VI, Line 7a: How Members or Shareholders Elect Governing Body
All members in good standing shall have the same voting rights and privileges of membership. Each member in good standing shall have the right to cast one vote upon any matter that is a subject of any vote by the members. Each member is entitled to cast (1) vote. Any matter that is the subject of a vote may be decided upon by a majority of vote of the members present, unless otherwise required by law. Voting by proxy at meetings shall not be permitted. The Board of Directors are elected by the members at the Annual meeting. A quorum is reached at the Annual meeting when 20 members are present. The Board of Directors manage the business of the corporation and may exercise all of the powers of the corporation.

A Director may be removed from office, with or without cause, by a vote of a majority of the members in good standing. A Director may be removed for cause by a vote of a majority of the Directors then in office and only after reasonable notice and opportunity to be heard before the Board of Directors.

The organization's governing body was provided with a copy of the Form 990 prior to filing. Any review comments were to be provided to the Treasurer prior to filing and incorporated in the final filing. If there are additional comments received after filing, the Treasurer will evaluate those comments and if there are any material changes to the Form 990 as previously filed, an amended Form 990 will be filed.

Each director, officer, employee and volunteer shall be provided with and asked to review a copy of the policy and to acknowledge in writing that he or she has done so.Annually each director, officer, employee and volunteer shall complete a disclosure form identifying any relationships, positions or circumstances in which s/he is involved that he or she believes could contribute to a conflict of interest. Such relationships, positions or circumstances might include service as a director of or consultant to another nonprofit organization, or ownership of a business that might provide goods or services to the NRAS. Any such information regarding the business interests of a director, officer, employee or volunteer, or a family member thereof, shall be treated as confidential and shall generally be made available only to the Chair, the Executive Director, and any committee appointed to address conflicts of interest, except to the extent additional disclosure is necessary in connection with the implementation of the policy.The policy shall be reviewed annually by each member of the Board of Directors. Any changes to the policy shall be communicated to all staff and volunteers.
