SchJ_P01_S00_L03 Schedule J, Part I, Line 3 The Executive Committee of the Board of Trustees chaired by the Board Chairperson deliberates to determine the President's compensation. Each member of the compensation-setting body is a disinterested party. Jesuit members of the Executive Committee recuse themselves from the salary deliberations. Salary data obtained from the Association of Colleges and University Personnel Administrators, the Association of Jesuit Colleges and Universities and an executive search firm database is used to determine compensation comparability. The decision of the compensation-setting body including terms of the compensation, the date approved, members of the compensation-setting body present during the discussion of the compensation and voting members, comparability data relied on and the source of the data and an affirmation that all members were free of any conflict of interest is documented and retained by the Secretary of the Board of Trustees.

The Form 990 is posted on the Board of Trustees website for review. In addition, the Form 990 is reviewed by an independent accounting firm prior to its submission to the Board of Trustees.
F990_P06_S0B_L12c Form 990, Part VI, Section B, Line 12c Under the Conflict of Interest Policy, each Trustee is required when initially elected, and annually thereafter, to acknowledge in writing that he or she has reviewed this Policy and is complying with it, in letter and in spirit; when initially elected, and annually thereafter, to complete the attached Disclosure Statement; an amendment statement must be filed promptly in the event of a material change in circumstances; and to disclose actual or potential conflicts of interest at any time when he or she becomes aware of them. The Board of Trustees are responsible for disseminating the Policy and for collecting signed Disclosure Statements at the time a Trustee is first elected. Completed Disclosure Statements will be sent to the President. Annually, the Board disseminates the Policy and Annual Disclosure Statements to all Trustees on or about August 1. Completed Disclosure Statements are due to the University by October 1 of each year and are reviewed by the University's counsel.
F990_P06_S0B_L15 Form 990, Part VI, Section B, Line 15 President's Compensation - The Executive Committee of the Board of Trustees chaired by the Board Chairperson deliberates to determine the President's compensation. Each member of the compensation-setting body is a disinterested party. Jesuit members of the Executive Committee recuse themselves from the salary deliberations. Salary data obtained from the Association of Colleges and University Personnel Administrators, the Association of Jesuit Colleges and Universities and an executive search firm database is used to determine compensation comparability. The decision of the compensation-setting body including terms of the compensation, the date approved, members of the compensation-setting body present during the discussion of the compensation and voting members, comparability data relied on and the source of the data and an affirmation that all members were free of any conflict of interest is documented and retained by the Secretary of the Board of Trustees. Key Employee Compensation Upon Hiring - The university President or Provost (depending on the organizational status of the key employee) makes a salary determination with the party involved. The President or Provost uses salary data obtained from the Association of Colleges and University Personnel Administrators, the Association of Jesuit Colleges and Universities and an executive search firm database to determine compensation comparability. On a regular basis the Executive Committee of the Board of Trustees reviews the compensation of key employees. Compensation adjustments - All compensation adjustments such as merit increases are documented in the Performance Evaluation and reviewed for reasonableness and industry comparability via budget analysis.
