(B) THE INTERESTED DIRECTOR MUST NOT PARTICIPATE IN, OR BE PRESENT FOR THE DISCUSSION OF THE MERITS OF THE TRANSACTION. (C) THE INTERESTED DIRECTOR MUST ABSTAIN FROM VOTING ON THE TRANSACTION. THE JOINT EXECUTIVE AND HUMAN RESOURCES COMMITTEE WAS APPOINTED THE RESPONSIBILITY TO REVIEW AND APPROVE THE COMPENSATION FOR THE CEO, OTHER OFFICERS, AND KEY EMPLOYEES. THE JOINT EXECUTIVE AND HUMAN RESOURCES COMMITTEE CONSULTS WITH AN INDEPENDENT COMPENSATION AND HUMAN CAPITAL CONSULTING FIRM SPECIALIZING IN COMPENSATION ADVISORY SERVICES FOR SALARY SURVEYS INCLUDING 990S FROM COMPARABLE ORGANIZATIONS FOR THESE POSITIONS. CONTEMPORANEOUS DOCUMENTATION AND RECORDKEEPING WITH RESPECT TO DELIBERATIONS AND DECISIONS IS KEPT.
