Explanation
Form 990, Part VI, Section A, Line 4
The Bylaws of the Organization were updated in 2013. The minimum number of board members was reduced from 10 to 6 and the maximum number was reduced from 25 to 12. Additionally, all board terms were changed to be 3 year terms. These changes also included matching changes in language as to the term of vacancy appointments and the number of necessary board members for a quorum now stated as a majority.

The Board of Directors reviews, determines and approves the compensation for the Executive Director. The determination of staff salaries is given via Board approval of the annual operating budget presented by the executive director. When deemed necessary by the Board, they consult the website of the Colorado Association for Nonprofit Organizations website to determine comparability of compensation for their employees to other similar organizations in comparable industries.

The Executive Committee, when the Board of Directors is not in session, shall have and may exercise all of the authority of the Board of Directors except amending the Articles of Incorporation and Bylaws, adopting a plan of merger or consolidation, or recommending the sale, lease or disposition of all the property of the corporation. The Executive Committee members are elected to the committee during the annual meeting of the Corporation. The term of office of the members of the Executive Committee shall be one year or until his or her successor is designated by the Board of Directors. There shall be no limit on the number of terms a member of the committee may serve. The Board of Directors shall fill any vacancy in the Executive Committee. Any member of the Executive Committee may be removed at any time with or without cause by a majority vote of the full Board of Directors.
