| Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents | In addition to a few editorial changes, the main points of the bylaws changes are to change terminology, change the Board structure, change voting eligibility, and restructure the committees.TERMINOLOGY Changes:The organizational transformation retires our old Convention but MONAs Biennial Convention and General Assembly meeting is being replaced with a Membership Assembly. The Membership Assembly will have the option of being held annually, biennially, or as a special meeting. The duties of the assembly will remain the same. The Membership Assembly is the governing and official voting body of MONA. It identifies and discusses issues of concern to members and provides direction to the Board of Directors.At the ANA House of Delegates meeting in June 2012, nurse delegates voted to retire the House of Delegates, Congress on Nursing Practice and Economics, and the Constituent Assembly and replace them with a Membership Assembly and Professional Issues Panels. The new Membership Assembly will meet annually and will serve as ANAs governing and voting body. The Professional Issues Panels will be comprised of members who are subject matter experts will be created and dissolved as needed, allowing ANA to respond more quickly to emerging policy and practice issues.CHANGE TO BOARD STRUCTURE:The changes create a more focused and nimble governance through a smaller board of directors. The changes include changing the board from 15 members to 7 members. Because of the smaller structure, there would be no need for an executive committee. The titles of the Board members are also evolving in an attempt to be more issues focused. To keep the line of communication open between the Board and the Regions, the Regional Chairs will be allowed to elect one Regional Chair to serve on the MONA Board as the Member Services Director. Reducing the size of the Board led to several additional bylaws changes to allow for this restructuring. This change will allow the Board to be more responsive and less costly to the association and its members.CHANGE VOTING ELIGIBILITY:ANA does not allow state only members to vote on any position that serves at the national level. State only members are those members that have opted to join only MONA and not ANA. Currently state only members are not allowed to vote for President, Vice President, Secretary, Treasurer, or ANA Delegate. These changes would allow more members to engage in the election process by allowing state only members to vote on everything except for President and ANA Membership Assembly representative.RESTURCTURE THE COMMITTEES:These changes will eventually lead to committees of the MONA Board functioning similarly to the ANA Professional Issues Panels. The committees will be comprised of members who are experts in their specialty area. Who in turn can provide accurate, focused information which will allow MONA a rapid response when key policy and practice issues need to be addressed. There is only one change to the Committees of the Assembly and that is to give the Regional Chairs the duty to serve as the Nominations Committee. The Regional Chairs would still be representative of each MONA region and are still elected by MONA members. This change streamlines the election process and allows the Regional Chairs (who are already active in their region) to have the opportunity to recognize potential leaders and the ability to recruit those leaders as candidates to run for MONA office. |
