Form 990, Part III, Line 4d: Other Program Services Description OTHER PROGRAM SERVICES 4: The Spooky Town Fair. This festival is held the last weekend in October at the St George Town Square. This family friendly festival features local artists, businesses, and of course food! There is LIVE entertainment and activities for the whole family. The Chamber co-sponsors the festival to help showcase the products and services of local restaurants and businesses.
Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents Bylaws amended and restated on September 20, 2013 to change the manner of selecting Board of Directors and Officers and to clarify their titles and responsibilities. Also, to reference the conflict of interest policy and to update the manner of notice delivery to include electronic methods. See copy of amended bylaws attached.
Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder Members consist of businesses with ties to the St George Utah area and annual dues are based on number of employees. Special rates apply for non-profit organizations and independent contractors who join as individuals under another company member.
Form 990, Part VI, Line 11b: Form 990 Review Process A preliminary copy distributed electronically to all board members and board approval was obtained at a regularly scheduled meeting of the board prior to issuance.
Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts Each officer and director is required to complete a conflict of interest questionnaire at least annually. The completed questionnaires are collected and reviewed by the organization's executive director. Potential conflicts of interest are reviewed with appropriate personnel.
Form 990, Part VI, Line 15a: Compensation Review & Approval Process - CEO, Top Management Executive committee of the board of directors meets and compares their knowledge of industry data and local market conditions. Board of directors approves compensation of President & CEO.
Form 990, Part VI, Line 15b: Compensation Review and Approval Process for Officers and Key Employees Compensation of all chamber employees is compared to a benchmark survey of the executives of the Western Area Chamber of Commerces. President & CEO determines that compensation is not in excess of the averages of the survey for all employee positions.
Form 990, Part VI, Line 19: Other Organization Documents Publicly Available The organization does not currently allow public inspection of its governing documents, conflict of interest policy, or financial statements.
