| Form 990, Part VI, Section A, line 6 | There are four classes of voting and two classes of non-voting members. Active Members, Judicial Members, New Lawyer Members and Senior Members are eligible to vote, hold office and enjoy all the privileges of membership. Law School Student Members are not eligible to vote or hold office, but otherwise enjoy all the privileges of membership. Affiliate Members are not eligible to vote, or hold office or serve on committees, but otherwise enjoy all the privileges of membership. The directors are elected by the voting members. None of the members have the power to approve significant decisions of the governing body. None of the members can receive a share of the organization's profits or excess dues or a share of the organization's net assets upon dissolution. |

Annually, the Committee meets with the Executive Director to evaluate his annual performance. The Committee provides the Executive Director with a written evaluation. Following its meeting with the Executive Director, the Executive Committee convenes without the Executive Director to establish his compensation for the following year. The Committee considers the performance of the organization for the prior year, evaluates all aspects of the Executive Director's job including financial and non-financial metrics and reviews a publicly available survey of the compensation of Executive Directors for bar associations of similar size. Based on this information, the Executive Committee engages in discussions and determines the Executive Director's compensation for the next year. |
