Form 990, Part VI, Section A, line 3 The Organization had a management agreement for management services with "Solutions for Associations, Inc." which performed services including accounting; membership recruitment, retention and processing; procurement of advertising, sponsorships and exhibitors; meeting management and operation of central office. The Executive Director of the Usability Professionals' Association is an employee and president of the management company.
Form 990, Part VI, Section A, line 4 The bylaws were amended as follows: * Regional Directors were made full voting members of the Board, with three year terms. The Board will appoint these Directors from a list of nominees provided by the Chapters. * Amended our procedures for removal of Board members, Officers, and UXPA members. Board Members and Officers can now be removed by a simple 2/3rds vote of the full Board of Directors. * We have updated the membership categories to reflect our new membership model.
