Briefly describe the organization’s mission: The New Hampshire Charitable Foundation is a statewide community foundation. We seek to strengthen communities and inspire greater giving by: investing charitable assets for today and tomorrow; funding effective organizations, ideas, and students; (cont. on Schedule O) leading and collaborating on important public issues.

Grant Program: The New Hampshire Charitable Foundation (NHCF)is the State's largest provider of grants to nonprofits and scholarships to local residents. In 2013, that included almost $27 million in grants and program initiatives, including grants to approximately 1,500 nonprofit organizations. Grants made reflect the widest range of the philanthropic imagination, including focused support in six areas: Health & Well-Being, Education, Environment, Arts & Culture, Civic Engagement, and Economy. More than 1,700 scholarships totaling $5.4 million were awarded to students pursuing a wide range of educational opportunities, including traditional colleges and universities, technical training and certificate programs, as well as programs that prepare students to enter the 21st century workforce.

Special Funds: There are a select group of funds at NHCF which support focused programs related to the goals of the donors. These include the Wellborn Ecology Fund, which seeks to increase knowledge of the environment and natural history of the Upper Valley in New Hampshire and Vermont; the Neil and Louise Tillotson Fund, which supports economic development in Coos County and surrounding communities; the Artist Advancement Fund, which provides support to an individual artist in the Greater Portsmouth area; the Upper Connecticut River Mitigation and Enhancement Fund, which seeks to restore, protect and enhance the watershed near the confluence of the Connecticut and White rivers; and the Oliver J. and Dorothy Penniman Hubbard Fund, which supports efforts to prevent substance use disorders among the State's residents.

Expenses for Grant Programs: In the case of these exceptional funds, programs have been created that connect resources made available by generous donors to the goals that motivated their gifts. Return Reference Explanation
Part V, Line 4: The Foundation is a community foundation that provides grant and loan assistance to nonprofit organizations and to students. The intended use of the various endowment funds is based on donor instructions at the time each fund was established. Purposes vary and include education, environment, health, arts & humanities, community building, and human services.
Part X, Line 2: The Foundation and its wholly-owned LLC are exempt from federal income taxes under Section 501(c)(3) of the Internal Revenue Code. The consolidated Corporation accounts for income taxes under the liability method in accordance with provisions of Accounting Standards Codification Topic 740, "Income Taxes" (ASC 740). Under the liability method, deferred tax assets and liabilities are recognized for the future tax consequences attributable to differences between the consolidated financial statement carrying amounts of existing assets and liabilities and their respective tax bases and operating loss carryforwards. Deferred tax assets and liabilities are measured using enacted tax rates expected to apply to taxable income in the years in which those temporary differences are expected to be recovered or settled. The effect on deferred tax assets and liabilities of a change in tax rates is recognized in income in the period that includes the enactment date. The consolidated Corporation maintains a valuation allowance for deferred tax assets for which recovery is uncertain. The Corporation also accounts for uncertain income tax positions under ASC 740. ASC 740 prescribes a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return and also provides guidance on de-recognition, classification, interest and penalties, disclosure and transition. Generally, the Corporation's preceding three years are open for examination by federal and state taxing agencies. In addition to being subject to U.S. and various state taxes, the Corporation is also subject to tax in foreign jurisdictions. The affiliated corporation accounts for uncertain tax positions using a "more-likely-than-not" threshold for recognizing and resolving uncertain tax positions. The evaluation of uncertain tax positions is based on factors that include, but are not limited to, changes in tax law, the measurement of tax positions taken or expected to be taken in tax returns, the effective settlement of matters subject to audit, new audit activity and changes in facts or circumstances related to a tax position. Management has evaluated the Foundation's tax positions and concluded that the Foundation has maintained its tax-exempt status, does not have any significant unrelated business income and has taken no uncertain tax positions that require adjustment to the financial statements. With few exceptions, the Foundation is no longer subject to income tax examinations by the U.S. Federal or State tax authorities for years before 2010.

Part I, Line 2: Activities outside the United States relate to the Neil and Louise Tillotson Fund and the Tillotson Coaticook Fund, both are donor advised funds, which make grants to organizations in Canada, and the Tillotson Guatemala Fund, a donor advised fund which makes grants to organizations in Guatemala. In addition, grants are made from a donor advised fund to a public charity in Utah that supports a charitable school in Ecuador. Procedures for the Neil and Louise Tillotson Fund: 1. Organizations are required to submit a full written application stating the purpose for which the funds will be used. 2. Depending on the size of the request, New Hampshire Charitable Foundation (NHCF) staff review the application and interview the applicant as well as leaders in the field regarding the purpose of the grant applications or the full application goes to a grantmaking committee ("Local Grants Committee") for committee review. 3. The Neil and Louise Tillotson fund advisory committee or the Local Grants Committee of the fund makes award recommendations for Canadian applicants. 4. All grant awards specify the purpose for which the funds will be used. 5. In many cases, NHCF contracts with The Resource Foundation of New York to review and manage the applicant status and project purposes for compliance with the Internal Revenue Service requirements for international grantmaking. 6. The Resource Foundation assumes all responsibility for the due diligence and management of the international compliance process. This includes the expenditure responsibility process inclusive of bi-annual reporting with each recommended grantee. 7. NHCF awards a grant to The Resource Foundation, as fiscal agent, representing each approved grantee organization. 8. In a few cases, NHCF has partnered with a Canadian charity that has U.S. equivalency status to manage the applicant and compliance process. 9. Form 990, Part VI, Section A, line 7a The Foundation has electors who elect the members of the governing body.
Form 990, Part VI, Section A, line 7b The following decisions of the governing body are subject to approval by the electors: a) changes to the by-laws; b) appointment of the independent audit firm.
Form 990, Part VI, Section B, line 11 A copy of the Form 990 is provided to and reviewed by the audit committee. After review and finalization, a copy is provided to each board member prior to filing the final form.
Form 990, Part VI, Section B, line 12c All board members and staff receive the written conflict of interest policy which clearly defines what constitutes a conflict. Each person is asked to document and sign a statement recording his or her personal conflicts. These forms are updated annually. In addition, during grant making discussions, those who have a conflict with the organization being discussed are asked to remind others of their conflicts. Those with a declared conflict are not eligible to discuss or vote on grant making for those organizations with which they have a conflict.
Form 990, Part VI, Section B, line 15 The process for determining compensation for the Foundation's president includes an annual review by the board of the president's performance. The executive committee of the board reviews comparability data including survey information provided by an independent compensation consultant. The committee presents a recommendation to the board. The board discusses the president's performance as well as the compensation recommendation. After deliberation, there is a board vote. The chair of the board prepares contemporaneous documentation of the discussion and vote. The members of the board as well as the executive committee are independent. The process for determining compensation for senior management of the Foundation includes an annual performance review by the president. The president reviews comparability data including survey information provided by an independent compensation consultant and makes compensation decisions within the compensation program and structure as approved by the board. The president prepares contemporaneous documentation of the discussion.
Form 990, Part VI, Section C, line 19 The Foundation's Form 990 and audited financial statements are available to the public on the Foundation's website. They are also available upon request. The by-laws and conflict of interest policy are available to the public upon request.
Form 990, Part VIII, Line 3 Investment Fees: New Hampshire Charitable Foundation invests in several commingled funds and limited partnerships. Most of these funds and partnerships report income net of fees and the Foundation follows the same practice. As a result, some of the fees paid to investment managers are reflected as a reduction of investment income and not shown on Part IX, Line 11f.
Form 990, Part X, Line 25 Deferred Compensation Accrual: The Foundation adopted a 457(b) deferred compensation plan during 2010 covering the Chief Executive Officer. The purpose of the plan is to provide supplemental retirement income and the retention of a key employee by offering benefits comparable with similar organizations. The board of directors approved annual contributions of $11,500 for 2013 and 2012. Each contribution is expensed when made. The total cost of the plan charged to operations amounted to $11,500 in 2013 and 2012. At December 31, 2013 and 2012, $54,223 and $34,639 was accrued for this obligation.
