X 2 The following was disclosed related to uncertain tax positions in the audited financial statements. The American Diabetes Association Research Foundation, Inc. is exempt from income taxes under Section 501c3 of the Internal Revenue Code the Code and charitable contributions to the Foundation qualify for charitable tax deductions as described in the Code. The Foundation has been classified as an organization that is not a private foundation under Section 509a of the Code. The Foundation recognizes the effect of income tax positions only if those positions more likely than not would not be sustained upon examination by the Internal Revenue Services. The Foundation has analyzed the tax positions taken and has concluded that as of December 31, 2013, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability or asset or disclosure in the financial statements.

Part I Line 1,2 The American Diabetes Association and the Canadian Diabetes Association CDA initiated a joint partnership in support of a Post-Doctoral fellowship. The program is designed to encourage international training of diabetes researchers. The program provides training grants for U.S. post-doctoral fellows in diabetes research performing their work in Canada, as well as Canadian fellows carrying out their fellowship work in the U.S. Also, it encourages international scientific discourse. Research awards are administered through the Canadian Diabetes Association. Each grantee is required to submit a detailed annual progress report to CDA which includes a scientific and financial portion, 75 days after the end of each previously committed funding year. Cumulative final report is required within 6 months after the expiration date of the grant. Part I Line 2 The American Diabetes Association Research Foundation closely monitors the use of grant funds. Each grantee is required to submit an Annual Progress Report, which includes a scientific and a financial portion, 30 days after the end of each previously committed funding year. Each year of funding after the first is contingent upon approval of the Annual Progress Report and the availability of funds. If the complete report is not received within 90 days after the due date, the award will be terminated. After the completion of the final year of the grant, a Cumulative Final Report, which includes a scientific and financial portion, is due within 60 days after the expiration date of the grant. If the complete final report is not received by the due date, the grantee will not be eligible to apply for any future awards until the obligations for the award are complete.
Part III Line 1,2 The American Diabetes Association Research Foundation program provides support to undergraduate minority students and young scientists through Junior Faculty Stipend Awards and Minority Undergraduate Internship. The Foundation Junior Faculty Stipend award is designed to support new faculty level investigators. The award supports an individuals salary and research project through an annual loan repayment. The Minority Undergraduate Internship award funds the training of an underrepresented minority undergraduate student as she/he gains valuable experience in diabetes research through a one year internship.

Part I Line 3 The Chief Executive Officer, the Chief Financial Officer, and Chief Scientific Medical Officer of the American Diabetes Association the Association also serve in these roles for the American Diabetes Association Research Foundation the Foundation. The Principal Officers of the Board of Directors of the Association use a Compensation Committee, compensation studies, and an independent consultant to establish the compensation of the Chief Executive Officer. The committee also reviews the compensation of the other officers to ensure compensation is appropriate based on industry benchmarks.
Part I Line 4b The Chief Executive Officer is compensated by the American Diabetes Association and participates in its supplemental retirement plan. The reported retirement and other deferred compensation includes contributions to the Chief Executive Officers 457f plan in the amounts of 90,544 for an annual contribution.

Form 990, Part III, Line 4 Research - Taking the Lead in Research The American Diabetes Association direct involvement in diabetes research extends back to the 1940s when Dr. Charles H. Best, one of four scientists credited with discovering insulin, provided the Association with the framework and early leadership for a formalized diabetes research program. Since our Research Program inception in 1952, we have been the leader in funding and supporting cutting-edge diabetes research that has made a crucial difference to people affected by diabetes around the world. In 2013, we made 35.7 million available to support a broad spectrum of diabetes research. Over the years, the Association has supported more than 4,000 research projects and invested more than 675 million in diabetes research. Association-funded research leads to innovative solutions that improve the lives of all people with diabetes. The program supports basic science to increase our understanding of how diabetes develops and identify novel targets for development of new drugs to treat diabetes. Clinical investigations supported by the Association test the effects of new treatments in people with diabetes, and examine the impact of educational and behavioral approaches on diabetes care. Association research has been critical in the development of technologies leading to modern insulin pumps and blood glucose sensors laid the groundwork for development of many of the new classes of oral medications that are now used to prevent and treat diabetes and has provided evidence for the importance of diet and exercise in diabetes management and the role of blood glucose control in reducing complications. New investigators and innovative ideas are critical to improving diabetes care and to finding a cure. Believing in the drive and potential of young and promising researchers, we offer training and career development awards to support scientists interested in diabetes research at the early stages of their research careers -from graduate and medical school through assistant professorship. A focus on early-career researchers and innovation makes the Association research programs distinct from what is funded by the federal government, and is essential to our mission to prevent and cure diabetes and to improve the lives of all people affected by diabetes. As evidence of the impact of funding these early career scientists, 98 percent of researchers supported by the Association continue their careers in diabetes research. The primary goals of the Association Research Program are - Support the highest quality science across the broad spectrum of diabetes research.- Support investigators early in their careers to encourage them to dedicate their efforts to diabetes research.- Support innovative research with a high potential to have a significant impact for people with diabetes.
Form 990, Part III, Line 4 Continued... Pathway to Stop Diabetes With the vision of achieving a new generation of brilliant scientists focused on diabetes, the Association officially launched Pathway to Stop Diabetes program in 2013. The Mentor Advisory Group reviewed 115 outstanding applications from research institutions across the U.S. and selected an inaugural class of five Pathway Scientists. This bold initiative will inspire a fresh generation of scientists to discover new diabetes prevention and treatment approaches. Each Pathway award totals of 1.625 million over five to seven years, which allows researchers to have the time and focus needed to explore new ideas. The Association goal is to fund 100 brilliant researchers over the course of the next ten years - a notable assembly of outstanding scientists that will bring unparalleled prestige to the program and attract an ever-increasing elite talent pool from which to identify future candidates. 2013 Research Highlights In 2013, Association-supported researchers made significant progress in understanding how diabetes develops and progresses, and in identifying new ways to potentially combat the disease. Notable discoveries include studies providing new insight into how the brain is impacted by and regulates metabolism, characterizing how brown fat regulates metabolism and can be leveraged to control body weight and metabolism, and testing new ways of manipulating the immune system to slow and potentially reverse autoimmune destruction of beta-cells in type 1 diabetes. The final and signed IRS from 990 was provided to the Association Board of Directors prior to filing with the IRS. The form was made available to the Foundation Board of Directors after filing with the IRS.
Form 990, Part VI, Section B, Line 12c Managing a Conflict of Interest To identify potential conflicts of interest with appropriate due diligence, the Foundations Officers, Directors, and members of the Grant Review Panel must annually disclose any potential conflicts of interest. The American Diabetes Associations Audit Committee and senior staff in legal affairs manage the disclosure and monitoring processes of the Board. The senior staff on the Associations Scientific and Medical Division manage the disclosure and monitoring processes of the Grant Review Panel. Through review of the annual disclosures and review of the agendas of relevant Board, Committee and other meetings, appropriate efforts are made in advance of the meetings to identify potential conflicts of interest. Each person also has the responsibility to report his/her own conflicts of interest actual or perceived as those conflicts may arise during a meeting.
