World Golf Foundation, Inc. (the "Foundation"), which is supported by major international golf organizations and professional tours, oversees the World Golf Hall of Fame & MUSEUM, The First Tee, GOLF 20/20 and other nonprofit components. The Foundation has a dual mission. The first is to honor the history of golf and the achievements of its greatest individuals (both players and contributors to the game) and to create entertaining and educational exhibits for the enjoyment of the general public. Secondly, the Foundation has undertaken several charitable initiatives including The First Tee and GOLF 20/20. These elements of the Foundation work together to promote growth of the game of golf among adults, youth and minorities as well as in the golf industry. The Foundation is supported by major golf organizations and professional tours throughout the world including: American Junior Golf Association American Society of Golf Course Architects Asian Tour Champions Tour Champions Tour Tournament Association Club Managers Association of America Golf Course Builders Association of America Golf Course Superintendents Association of America Golf Writers Association of America International Association of Golf Administrators Japan Golf Tour Organization Ladies Professional Golf Association LPGA Tournament Owners Association National Golf Course Owners Association National Golf Foundation PGA of America PGA TOUR INC. The PGA European Tour THE MASTERS TOURNAMENT The R&A Royal Canadian Golf Association Southern Africa PGA Tour United States Golf Association Web.com Tour World Golf Hall of Fame & MUSEUM ("WGHOF") opened its museum facility ("Museum") in May 1998 providing visitors an opportunity to learn about the rich history, values and deeply rooted traditions of the game through exhibitry and the Walk of Champions. The World Golf Hall of Fame is housed in the Museum. The World Golf Hall of Fame IMAX Theater provides educational opportunities to area school children and the general public. The WGHOF Museum and facility encompasses approximately 75,000 square feet and holds more than 70 separate exhibits that combine historical artifacts with the latest interactive technology. The artifacts on display are representative of the history of golf and many of the artifacts are on loan to the Foundation from various individuals and golf organizations for use in the Museum. The WGHOF enshrines the greatest players and contributors to the game of golf. Three induction avenues have been created for professional golfers: the PGA TOUR Hall of Fame, the LPGA Hall of Fame, and an International Ballot. A Lifetime Achievement Category also has been created to honor any amateur or other individual deserving of recognition through his or her contribution to the game. Another avenue is the Veterans Category which considers any golf professional who played the bulk of his or her career 30 years prior to the date of induction into the Hall of Fame. Selected players will be enshrined in a special ceremony. The Foundation has undertaken a focused charitable youth development activity entitled "The First Tee." The First Tee teaches life skills through golf education and provides access for youth, regardless of financial status, and makes golf physically accessible; specifically, through the construction of golf facilities in rural and urban areas, the creation of school programming to introduce the game to students and the introduction of the game and its values to individuals who would otherwise not have had the opportunity to truly participate in the game. The First Tee is designed to promote scholastic achievement, community service and the positive values intrinsic to golf. The First Tee program locations target young people up to the age of 18 who have not had exposure to the game. Using golf's unique ability to teach honor, integrity and sportsmanship, The First Tee has developed a National certification program. The strategy for providing increased access involves the development of facilities and affiliate relationships as well as the development of a broad school-based golf training program (the "National School Program" - NSP) which is offered through schools' physical education curriculum. The First Tee serves as a catalyst for local Chapter program development, forging relationships between the public and private sectors and promoting quality and consistency in instruction. In an effort to capitalize on the momentum and the spirit of collaboration generated by the success of The First Tee program, the world's major golf organizations have organized another joint project, GOLF 20/20. The fundamental principle behind GOLF 20/20 is that golf benefits society and that accelerating the growth of the game will not only expand the game's accessibility but also improve the quality of life for those who are introduced to its positive values. The mission of GOLF 20/20 is to bring the golf industry together to address the future of golf in a strategic manner, with an emphasis on accelerating growth over the next twenty years and creating new avenues of access into the game. This will be achieved by setting participant growth and access goals, by identifying the initiatives that will achieve those goals and by establishing administrative and funding sources for those initiatives. The Foundation also focuses on increasing the involvement of minorities and other nontraditional populations in the game as well as the business of golf. The focus is to impact positively the golf world by developing and supporting programs that create and promote opportunities for diverse populations in all aspects of golf.

Return Reference Explanation
PART III, LINE 1A The Foundation has received certain loaned and donated artifact collections from other golf organizations and from individuals for exhibition in the HOF. During 2012, the Foundation changed its policy on the collection and on prospective basis will not capitalize the value of these collections as they are held for public exhibition, education, or research and not for financial gain. These items are protected and preserved. WIth this change in policy the Foundaiton recorded a write-off of $266,939 of collections that were previously capitialized. Ancillary costs of collection items purchased by the Foundation were approximately $126,139 and $236,821 in 2013 and 2012, respectively. There were no proceeds from the sale of collection items or insurance recoveries from lost or destroyed collection items owned by the Foundation in 2013 or 2012.
PART III, LINE 4 THE WORLD GOLF HALL OF FAME'S PROGRAM ACTIVITIES INCLUDE A MUSEUM OF GOLF RELATED ARTIFACTS OF HISTORICAL AND EDUCATIONAL SIGNIFICANCE. THESE ITEMS ALSO INCLUDE MEMORABILIA FROM THE INDUCTEES' CAREERS AND PERSONAL LIVES, SUCH AS CLUBS, BALL MARKERS AND TOOLS USED TO CRAFT THESE ITEMS. SOME OF THE COLLECTION IS OWNED BY THE WORLD GOLF FOUNDATION AND SOME OF IT IS ON LOAN FROM THE ARTIFACT OWNER.

PART VI, LINE 7A UNDER THE BYLAWS, THE SEVEN REPRESENTATIVE DIRECTORS ARE NAMED BY TITLE AND MUST BE ELECTED AS DIRECTOR BY VIRTUE OF THEIR OFFICIAL CAPACITY IN EACH OF THE FOLLOWING SEVEN MAJOR GOLF ORGANIZATIONS - THE PGA TOUR, UNITED STATES GOLF ASSOCIATION, PROFESSIONAL GOLF ASSOCIATION OF AMERICA, LADIES PROFESSIONAL GOLF ASSOCIATION OF AMERICA, THE MASTERS TOURNAMENT, THE R&A, AND THE PGA EUROPEAN TOUR. AS A RESULT, THESE SEVEN GOLF ORGANIZATIONS HAVE LIMITED DISCRETION TO ELECT SEVEN OF THE EIGHT DIRECTORS. UNDER THE BYLAWS, THE EIGHTH DIRECTOR IS ELECTED BY THE EXISTING DIRECTORS AND IS NOT SELECTED BY ANY OTHER PERSONS OR ORGANIZATIONS.
PART VI, LINE 11B THE RETURN WAS REVIEWED IN DETAIL BY THE VICE PRESIDENT OF FINANCE AND HUMAN RESOURCES. THE 990 RETURN AS FILED WITH THE IRS WAS ALSO MAILED/EMAILED TO THE BOARD OF DIRECTORS IN NOVEMBER 2014 PRIOR TO FILING.
PART VI, LINE 12C THE EMPLOYEE HANDBOOK CONTAINS COMPREHENSIVE CONFLICTS OF INTEREST POLICIES AND REPORTING PROCEDURES THAT GOVERN ALL EMPLOYEES, INCLUDING KEY EMPLOYEES AND OFFICERS WHO ARE ALSO EMPLOYEES. EACH EMPLOYEE SIGNS A CERTIFICATION WHEN THEY REVIEW THE CONFLICTS OF INTEREST SECTION OF THE EMPLOYEE HANDBOOK, AND THE EMPLOYEE HANDBOOK IS POSTED AT ALL TIMES ON THE ORGANIZATION'S INTRANET WEB SITE. THERE IS NO ANNUAL WRITTEN DISCLOSURE FORM. EMPLOYEES ARE REQUIRED TO DISCLOSE ACTUAL OR POTENTIAL CONFLICTS OF INTEREST TO AN OFFICER OR THE DIRECTOR OF HUMAN RESOURCES PROMPTLY AS THEY ARISE. MONITORING AND MANAGING ACTUAL OR POTENTIAL CONFLICTS OF INTEREST ON THE BOARD OF DIRECTORS AND AMONG EMPLOYEES IS THE RESPONSIBILITY OF THE CHIEF EXECUTIVE OFFICER, WITH ADVICE AND CONSULTATION FROM OTHER OFFICERS, DIRECTORS, SUPERVISORY STAFF AND THE DIRECTOR OF HUMAN RESOURCES. AS STATED IN THE EMPLOYEE HANDBOOK EMPLOYEES AND OFFICERS WHO ARE ALSO EMPLOYEES ARE REQUIRED TO REPORT ANY ACTUAL OR POTENTIAL CONFLICTS OF INTEREST AND TO TAKE APPROPRIATE ACTION INCLUDING ADEQUATE DISCLOSURE AND NOT PARTICIPATING IN DECISIONS THAT INVOLVE THE CONFLICT OF INTEREST.
PART VI, LINE 15A AND 15B THE 2013 COMPENSATION OF THE CHIEF EXECUTIVE OFFICER AND THE EXECUTIVE VICE PRESIDENT WAS DECIDED BY THE COMPENSATION COMMITTEE COMPRISED OF INDEPENDENT DIRECTORS BASED ON SEVERAL CRITERIA INCLUDING A WRITTEN REPORT WITH COMPARABILITY DATA FROM THE GOLF INDUSTRY. A WRITTEN RECORD WAS MADE OF THE COMMITTEE'S COMPENSATION DECISIONS. THE COMPENSATION OF OTHER OFFICERS AND KEY EMPLOYEES WAS DETERMINED BY THE CHIEF EXECUTIVE OFFICER AND THE EXECUTIVE VICE PRESIDENT, WITH ALL SUCH COMPENSATION REFLECTED IN THE BUDGET APPROVED BY THE DIRECTORS.
PART VI, LINE 19 THE ARTICLES OF INCORPORATION ARE AVAILABLE ANYTIME ONLINE FROM THE STATE OF FLORIDA, DIVISION OF CORPORATIONS.
