THE MISSION OF THE NEWTON B. THOMAS SUPPORT FOUNDATION ("NBTSF") IS TO OPERATE FOR THE BENEFIT OF THE BATON ROUGE AREA FOUNDATION BY SUPPORTING CHARITABLE, BENEVOLENT, CIVIC, MORAL, RELIGIOUS, ARTS, CULTURAL, MEDICAL AND EDUCATIONAL USES AND PURPOSES AS WILL MOST EFFECTIVELY ASSIST, ENCOURAGE AND PROMOTE THE WELL-BEING OF MANKIND, PARTICULARLY IN THE COMMUNITIES IN WHICH THE NEWTRON GROUP (THE "COMPANY" OR "NGI") OPERATES, THROUGH CHARITABLE CONTRIBUTIONS THROUGH THE NEWTON B. THOMAS FAMILY/NEWTRON GROUP DONOR ADVISED FUND OF THE BATON ROUGE AREA FOUNDATION. NBTSF WILL MAXIMIZE ITS ASSETS AND CONTRIBUTIONS BY WORKING WITH THE PRESIDENT/CEO OF NGI TO ENSURE THAT THE MANAGEMENT BELIEFS THAT NEWTON THOMAS USED IN RUNNING THE COMPANY ARE CONTINUED AND FAITHFULLY ADHERED TO ONCE THE COMPANY IS DONATED TO NBTSF. THOSE BELIEFS ARE SIMPLY THAT THE PRESENT AND FUTURE MANAGEMENT OF THE COMPANY LIVES BY AND ADHERES TO NGI'S CORE VALUES AND BELIEFS (ATTACHED) ON A DAY-TO-DAY BASIS AS THEY MANAGE THE COMPANY. THE NEWTRON GROUP CORE VALUES AND BELIEFS WE BELIEVE THAT ALL EMPLOYEES ARE TO BE TREATED AS INDIVIDUALS AND ARE TO BE SHOWN RESPECT AND DIGNITY. THIS APPLIES TO BOTH HOW THE COMPANY AND ITS MANAGEMENT TEAM TREAT INDIVIDUALS, AND HOW EMPLOYEES TREAT ONE ANOTHER. OUR CUSTOMERS AND VENDORS SHOULD ALSO BE TREATED WITH RESPECT AND DIGNITY. WE BELIEVE THAT RESPONSIBILITY, AUTHORITY AND DECISION-MAKING SHOULD RESIDE WITH THE EMPLOYEES CLOSEST TO THE ACTUAL WORK BEING PERFORMED OR THE ISSUE AT HAND. HOWEVER, WITH RESPONSIBILITY AND AUTHORITY COMES AN OBLIGATION ON THE PART OF EMPLOYEES TO PERFORM IN A SELF-MOTIVATED MANNER, TO SEEK HELP WHEN APPROPRIATE AND TO STRIVE TO MAKE NGI SUCCESSFUL. EXCELLENCE IS EXPECTED FROM EVERYONE. AS PART OF THE PARTNERSHIP THAT THE COMPANY HAS WITH ITS EMPLOYEES AND MANAGEMENT, THE COMPANY IS COMMITTED TO SHARING A SUBSTANTIAL PORTION OF ITS ANNUAL PROFITS WITH EMPLOYEES AND MANAGEMENT IN THE FORM OF ANNUAL BONUSES. ALTHOUGH THESE ARE OUR VALUES, WE CANNOT LOSE SIGHT OF THE FACT THAT NGI IS IN BUSINESS TO MAKE MONEY. WITHOUT ADEQUATE PROFITS, THE COMPANY IS NOT VIABLE AND CANNOT SURVIVE IN THE MARKETPLACE. OUR CORE VALUES ARE MEANT TO SERVE AS A CONSTRAINT ON THE MANNER IN WHICH WE CONDUCT BUSINESS AND EARN A PROFIT, BUT ARE NOT MEANT TO BE THE PRIMARY REASON WE EXIST. IRS FORM 990 WILL BE COMPLETED ANNUALLY AND DRAFT COPIES WILL BE PROVIDED TO THE ENTIRE BOARD OF DIRECTORS OF THE FOUNDATION. AT THAT TIME, THE SECRETARY WILL REVIEW THE DRAFT FORM 990 WITH THE ENTIRE BOARD. ANY NECESSARY CHANGES WILL THEN BE UPDATED ON THE FORM. ONCE ALL NECESSARY CHANGES ARE MADE AND THE SECRETARY IS IN AGREEMENT WITH THE ENTIRE BOARD AS TO THE VERACITY OF THE INFORMATION PRESENTED IN THE FORM, IT WILL BE RECOMMENDED FOR APPROVAL. UPON APPROVAL BY THE BOARD OF DIRECTORS, THE FORM WILL BE SIGNED BY THE SECRETARY (OR OTHER APPROPRIATE REPRESENTATIVE OF THE FOUNDATION), DATED AND SUBMITTED TO THE IRS BY THE FILING DEADLINE.

DIRECTORS ARE REQUIRED TO COMPLETE A DISCLOSURE STATEMENT ANNUALLY. THE DISCLOSURE OBLIGATION IS CONTINUING AND DIRECTORS ARE REQUIRED TO UPDATE THEIR RESPECTIVE DISCLOSURE IF A CONFLICT OR THE APPEARANCE OF A CONFLICT ARISES PRIOR TO THE NEXT REPORTING PERIOD.
