| Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents | Article IV Section 1: Replaced a Secretary/Treasurer with a Vice President.Article VII Section 1: The Vice president shall be the official recorder of minutes for each meeting in place of the secretary/treasurer. Removed the NAESP State Representative from the MAESP Steering and Finance Committee.Article VIII Section 1: Amendments to the constitution and by-laws can now be proposed at any time through the President, not just during the General Membership Meeting. They are no longer required to be read at the meeting on which they are voted on.Article IX Section 3: The Executive Director shall provide the updated Financial Report at each meeting instead of the secretary/treasurer.Bylaws Article 1 Section 1: For general membership meetings, thirty (30) members, representing at least six (6) of the MAESP districts, shall constitute a quorum. This is a change from fifty (50) members, representing a majority of the districts. Of the 14 current districts, only 12 are active. |
| Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder | Section 1: Membership shall be of six classes: (1) active members, (2) institutional members, (3) aspiring principal membership, (4) associate members, (5) honorary members, (6) retired and (7) lifetime retired members.Section 2: Active membership is restricted to those who pay their regular membership fee and (1) who hold a valid elementary principal and/or middle school principal's certificate or have a major responsibility for supervision and administration of an elementary and/or middle school, regardless of title; (2) persons who are actively engaged in educational research, professional education, elementary or middle school administration.Section 3: Institutional membership is reserved for higher education institutions and the Department of Elementary and Secondary Education. Membership dues shall be set at active dues rate plus $50 as outlined in Article III, Section 1 of the By-Laws, entitle the members to 3 copies of each MAESP publication, and make any regular employee of the member institution who is not an elementary principal eligible to attend MAESP conferences at the member rate. This membership does not include the right to vote, hold office or receive legal financial support.Section 4: Aspiring principal membership is reserved for persons not serving in an elementary and/or middle school administrative or supervisory capacity. Aspiring principal members shall be eligible for all privileges of the Association except the right to vote, hold office or receive legal financial support.Section 5: Associate membership is reserved for those who are not eligible for other types of membership. Associate members will be entitled to all privileges of the Association except the right to vote, hold office or receive legal financial support.Section 6: Retired and Lifetime Retired membership shall be for those administrators of an elementary or middle school, who have officially retired from a public or private school. Retired and Lifetime Retired members shall have all rights and privileges of active members except the right to hold office. |
| Form 990, Part VI, Line 11b: Form 990 Review Process | Management will review the Form 990 once completed. Management then provides an opportunity for review and approval by the Executive Officers prior to filing. In addition the Executive Officers sign a Conflict of Interest Disclosure Form at each Officers Meeting held yearly in June. |

A STAFF MEMBER SHALL NOT BE THE RESPONSIBLE STAFF PERSON ON A TRANSACTION IN WHICH HE/SHE HAS A CONFLICT OF INTEREST. |
| Form 990, Part VI, Line 15b: Compensation Review and Approval Process for Officers and Key Employees | EXECUTIVE DIRECTORS OF MASA AND MAESP SHALL ANNUALLY CONDUCT AN EVALUATION OF THE MCSA COORDINATOR, AND SHALL MEET WITH THE MAESP OFFICERS TO DISCUSS AND DOCUMENT STRENGTHS, WEAKNESSES AND GOALS FOR THE UPCOMING YEAR. COMPENSATION FOR THE UPCOMING YEAR SHALL BE DISCUSSED AND DOCUMENTED. DURING THESE DISCUSSIONS, MAESP OFFICERS AND/OR MAESP EXECUTIVE COMMITTEE MEMBERS MAY CONSIDER INPUT OBTAINED FROM OTHER BOARD MEMBERS, STAFF, PROFESSIONAL ADVISORS AND OTHER INDIVIDUALS ONCE A REVIEW OF PERFORMANCE IS COMPLETED. |
