2 - Dorvin D Leis and Betty Leis are both on the Board of Directors. Jimmy and Honeybun Haynes are both members of the Board of Directors for the MACC. 12(c) - The CEO and other key officers of the organization monitors and enforces compliance with the organization's written conflict of interest policy by reviewing all contracts and agreements, together with potential uses of the organization's facilities, to determine whether there may be a conflict of interest that is covered by the policy. If such a determination is made, the CEO will notify the affected parties to discuss the matter in more detail. This process is taken on an on-going basis. 15(a) and 15(b)- The Governance Committee of the Board of Directors of the organization reviews on an annual basis the compensation of the organization's CEO. The Governance Committee of the Board excludes the CEO from attending that part of its meeting devoted to the CEO's compensation. At this meeting, the Governance Committee reviews the CEO's performance for the year, reviews information regarding comparable compensation for individuals similarly situated in other similar organizations (to the extent such information is available) as well as comparable compensation throughout the organization, and engages in a discussion to deliberate these and other relevant issues before making a recommendation to the organizations full Board of Directors. At the next Board of Directors' meeting, the recommendation of the Governance Committee is presented to the Board, which then makes a final determination of this matter in closed, executive session. With respect to the compensation of other officers or key employees of the organization, such determination is made by the CEO. In making this determination, the CEO may ask for input from other key officers and employees (excluding, of course, the officer or key employee in question). The CEO will consider comparable compensation for individuals similarly situated in other similar organizations (to the extent such information is available). At that time, the CEO will substantiate his deliberation and decision with key members of the Board, although the ultimate decision is made by the CEO. 16B - There is no written policy for partnering with partners.
