Form 990, Part VI, Section A, line 4
The board of directors performed a comprehensive review of its governance structure and presented a new set of bylaws to its members for approval. The bylaws may be amended, altered, or repealed by the members by a majority of a quorum vote at any regular special meeting. The new bylaws were adopted by the members with an effective date of June 1, 2013.

There shall be three classes of institutional members: Member Institutions, Associate, and Provisional; and two classes of non-institutional members: Honorary and Subscriber. The Member Institutions is the only class of members who has the right to cast a vote, as set forth in the bylaws, on the election of directions, on the disposition of all or substantially all of the corporation's assets, on any merger and its principal terms and any amendment of those terms, and on any election to dissolve the corporation.

The WACUBO Board of Directors has established a policy that requires all Board of Directors, officers, volunteer leaders, and key employees to complete and submit an annual Statement of Disclosure detailing any facts or circumstances that might constitute a conflict of interest. The WACUBO Secretary solicits the WACUBO Conflict of Interest Statement of Disclosure from all required parties and provides it to the WACUBO Audit Committee for review and follow-up as appropriate.

WACUBO's daily activities are carried out by its volunteers, inclusive of its Board of Directors. WACUBO does not have employees and accordingly it does not have a CEO, Executive Director, or other top management official. The Treasurer receives a modest stipend. The Finance Committee surveyed positions in similar organizations and recommended an appropriate stipend, which was approved by the Board of Directors.
