The authorized number of Directors may total no fewer than twenty-seven (27)members and no more than forty-five (45) members, unless that number is changed by Amendment to these Bylaws. The members of the Board shall represent both Active members ection 2. Sustaining Gold Members who qualify for a Board position shall have full voting rights but shall not be included in the count for minimum or maximum number of Directors. At no time shall there be more than one half (1/2) of the members of the Board from the Sustaining Gold members category. If at any time the number of corporations seeking access to a Sustaining Gold All matters contained in notices of meetings are to be decided by the majority of those voting. No business other than that stated in the notices of the meetings may be transacted without a majority vote of all members present who are entitled to vote. |
| Form 990, Part VI, Line 7a | Form 990, Part VI, Line 7a: How Members or Shareholders Elect Governing Body | Any individual, firm, association, organization, or corporation actively engaged inthe promotion or sale of travel or related goods and services, is eligible for Sustaining Gold membership in the Association by payment of the Sustaining Gold membership dues amount. Sustaining Gold memberships reside with the corporation, firm, individual, or association, and each Sustaining member may designate up to five (5) individuals for each annual subscription. The designated individuals are identified as Associate members and are entitled to the privileges accorded Associate members.Any individual, firm, association, organization, or corporation, actively engaged in the promotion or sale of travel or related goods and services, is eligible for Active membership in the Association. Active membership resides in the individual, firm, association, organization, or corporation and each Active member may designate one (1) individual who with the right to vote at all Association meetings. Any member failing to pay his dues will be terminated in accordance with the by laws. Any member may, by giving written notice of such intention, withdraw from membership. Resignations are effective only upon fulfillment of all obligations to the Association. Any member may be dismissed from the Association by a vote of two thirds (2/3) of the Board of Directors for any conduct contrary to good business ethics, provided however, that such action will not be taken until the member has been given a reasonable opportunity, after notice of the charge or charges, to appear at a meeting of the members and make such answer thereto as desired. |
