Form 990 EZ, Part V, Line 34	The Organization By-Laws were amended to: 1) Clarify the Mission Statement - Main Street Dodge City is a non-profit organization dedicated to preserving the heritage of the downtown area in order to maintain the vibrant heart of the community. The organization strives to unite both the private and public sector by coordinating different activities that stimulate pride and bring life to the downtown area. 2) Revise the original by-laws to indicate that membership is activated upon payment of initial dues, subject to approval by the board of directors. 3) Change the makeup of the board of directors such that the board shall have from seven to eleven members who are proponents of downtown revitalization and historic preservation, with two positions reserved for a downtown business or property owner. 4) Remove the requirement for each board member to attend at least one Main Street quarterly training session each year as these training sessions are no longer available. 5) Update the terms of the board of directors for the future as the original by-laws just indicated the terms for the initial board of directors. 6) Allow for electronic meetings. 7) Revise the standing committees to include a Governance committee and an Economic Development committee. 8) Add the following Dissolution Clause - Upon the dissolution of this corporation, its assets remaining after payment, or provision for payment, of all debts and liabilities of this corporation shall be distributed for one or more exempt purposes within the meaning of Section 501c(6) of the Internal Revenue Code or shall be distributed to the federal government, or to a state or local government, for a public purpose. Such distribution shall be made in accordance with all applicable provisions of the laws of this state.
