Explanation
Form 990, Part VI, Section A, line 2
Scott Dewald was hired as President/CEO of REI, OK effective April 1, 2013. He transferred to Durant and purchased his family's personal residence in November of 2013. This residence was purchased through Coldwell Banker VanMeter Select Realty. Martin VanMeter, serves as a volunteer member of the REI, OK Board of Directors and is the owner/broker of Coldwell Banker VanMeter Select. Mr. VanMeter earned a regular and customary real estate commission associated with Dewald's purchase.

Membership shall consist of a class including individuals from the following: partnerships, corporations, foundations, public trusts, small business and industry, private lending institutions, public finance and investment agencies, business organizations, community organizations, state agencies, state elected officials, Indian tribes, rural water districts, universities, colleges, career and technology education centers, cooperatives, public entities, area wide planning and development district organizations, economic and industrial development organizations, area wide education and training boards, cities, counties, school districts, and other entities interested in devoting their prime efforts or funds to the furtherance and purposes of the Corporation and whose admission to membership will contribute to the Corporation's ability to carry out its public and charitable purpose of promoting and assisting in the creation, growth, and development of the number and quality of jobs available through industrial, agricultural, recreation, and commercial business concerns, including small business, throughout the service area. Members may be residents of any city or state, provided not less than seventy-five percent (75%) of the members shall do business or reside within the service area. Any person may be elected to membership in this Corporation by a majority vote of the members present at any annual or special meeting, provided that at all times a majority of the membership in this Corporation shall be representatives of public or governmental entities.

Form 990 is submitted to the Administrative Task Force, composed of five board members, including a CPA. The Administrative Task Force reviews Form 990 before filing. The board is provided a link to the 990 for review prior to filing with IRS.

Annually each board member acknowledges the REI OK conflict of interest policy by signing the statement and policy at the annual board meeting. Any member having a conflict on any action item presented for board approval, voices that and abstains from voting. Staff are trained annually on all policies which includes the conflict of interest and they also sign the statement. In addition, the sign in sheet for attendees at each board meeting lists the conflict of interest statement to bring additional awareness before each meeting.

The Executive Compensation Committee (CEO Evaluation Committee), consisting of appointed members of the board, review the CEO's compensation annually and present to the full board for consideration and full board approval. In addition, at board request, an independent consultant evaluates options for CEO compensation, taking into account comparable market factors. Other employee compensation is reviewed annually in conjunction with market surveys.
